Lizenzvergabebedingungen WebFox (Stand: 05/2010) §1 Nutzungsrecht (1) Aurenz räumt hiermit dem Lizenznehmer das einfache, nicht ausschließliche und zeitlich unbeschränkte Recht ein, das beiliegende, datenträgergespeicherte Softwareprogramm "WebFox" (nachfolgend "Software" genannt) in maschinenlesbarer Form (Objektcode) sowie die Anwendungsdokumentation, die ebenfalls auf dem an den Lizenznehmer gelieferten Datenträger enthalten ist, zum eigenen Gebrauch im Rahmen seines Geschäftsbetriebes zu nutzen. Das Nutzungsrecht ist auf die zeitgleiche Nutzung an der zwischen dem Lizenznehmer und Aurenz vereinbarten Anzahl von Arbeitsplätzen des Lizenznehmers beschränkt. (2) Ein darüber hinausgehender Erwerb von Rechten an der Software ist mit dieser Nutzungsrechtseinräumung nur gemäß den nachfolgenden Bedingungen verbunden. Aurenz behält sich alle Verbreitungs-, Ausstellungs-, Aufführungs- und Veröffentlichungsrechte an der Software vor. (3) Die Software beinhaltet drei unveränderte Kopien von Open-Source-Produkten, namentlich "MySQL 5.0 Datenbank", "Squid-Proxy 2.7 STABLE6" sowie "Java Development Kit 1.6 Update 16". Bei den vorgenannten Open-Source-Produkten handelt es sich jeweils um eigenständige und von der Software unabhängige Produkte, die jeweils eigenen Lizenzbedingungen unterliegen. Diese Lizenzbedingungen kommen auch im Verhältnis Aurenz/Lizenznehmer zur Anwendung. Darüber hinaus sind die im Anhang näher spezifizierten Open-Source-Libraries in der Software "WebFox" integriert, und zwar sämtlich unverändert zu reinen Nutzungszwecken. Die hinsichtlich der vorgenannten Produkte geltenden Lizenzbedingungen befinden sich im Anhang zu den Lizenzvergabebedingungen für WebFox und werden wesentlicher Bestandteil dieses Lizenzvertrags. §2 Umfang der Nutzung (1) „Nutzen“ i.S.d. § 1 Abs. 1 ist jedes dauerhafte oder vorübergehende ganze oder teilweise Vervielfältigen (Kopieren) durch Laden, Anzeigen, Ablaufen, Übertragen oder Speichern der Programme und Daten zum Zwecke ihrer Ausführung. Zur Nutzung gehört auch die Ausführung der genannten Handlungen zum Zwecke der Beobachtung, Untersuchung oder zum Test der überlassenen Programme. Die vorstehenden Sätze gelten auch für die auf dem Datenträger überlassene Anwendungsdokumentation. Das Nutzungsrecht ist auf den Objektcode der Software beschränkt. (2) Nutzt der Lizenznehmer die Software gleichzeitig auf mehreren an ein Netzwerk angeschlossenen Arbeitsplätzen, erstreckt sich die Berechtigung gemäß § 1 Abs. 1 und § 2 Abs. 1 auf die Anzahl von Arbeitsplätzen des lokalen Netzwerks, für die der Lizenznehmer Lizenzen erworben hat. Erfordert die Netzwerknutzung die Installation eines Client-Programms am jeweiligen Arbeitsplatz, so ist der Lizenznehmer berechtigt, Vervielfältigungen des Clientprogramms in Höhe der erworbenen Lizenzen herzustellen. Die Software und die Anwendungsdokumentation werden nachfolgend auch als „Lizenzmaterial“ bezeichnet. Zum Lizenzmaterial gehören sämtliche Versionen des Lizenzmaterials, die dem Lizenznehmer während der Dauer des Vertrags überlassen werden. Dies gilt auch für Upgrades und Updates, sofern und solange der Lizenznehmer einen separaten, kostenpflichtigen Maintenance- und Supportvertrag abschließt. In gedruckter Form überlassenes Lizenzmaterial darf nur mit schriftlicher Zustimmung von Aurenz vervielfältigt werden. (4) Zur vertragsgemäßen Nutzung gehört die Herstellung von Sicherungskopien von der Software und den darin enthaltenen Daten, sofern dies für die künftige Benutzung der Software, der Daten oder des Gesamtsystems erforderlich ist. Ist die Software mit einem Kopierschutz ausgestattet, erhält der Lizenznehmer im Falle einer Beschädigung des gelieferten Programms beim Laden oder während des Betriebs auf Anforderung kurzfristig eine Ersatzkopie. (5) Der Lizenznehmer ist berechtigt, die Software mit anderen Computerprogrammen zu verbinden. Weitergehende Änderungen der Software sowie Fehlerkorrekturen sind nur in dem Umfang zulässig, als sie zur bestimmungsgemäßen Benutzung des Programms notwendig sind. Eine Rückübersetzung (Dekompilierung) des Programmcodes in eine andere Darstellungsform ist untersagt. Ausgenommen hiervon ist eine teilweise Übersetzung zum Zwecke der Herstellung der Interoperabilität eines unabhängig geschaffenen Computerprogramms mit der Software oder mit anderen Softwareprogrammen unter den in § 69e UrhG angegebenen Beschränkungen. (6) Der Lizenznehmer ist nicht berechtigt, die in den vorstehenden Absätzen genannten Rechte auf Dritte zu übertragen oder Dritten entsprechende Nutzungsrechte zu übertragen, sofern schriftlich nichts Abweichendes mit Aurenz vereinbart ist. Keine Dritten im vorstehenden Sinne sind verbundene Unternehmen des Lizenznehmers i.S.d. §§ 15 ff. AktG. (7) Ein Nutzungsrecht an der Software wird nur insoweit eingeräumt, als sich durch die nachfolgenden Regelungen (insbesondere den Lizenzbedingungen der einzelnen Programme und Libraries) nichts anderes ergibt. §3 Gewährleistung und Haftung (1) Es ist dem Lizenznehmer bekannt, dass es nach dem Stand der Technik nicht möglich ist, Software so zu erstellen, dass sie selbst und in allen Anwendungen und Kombinationen mit anderen Softwareprodukten fehlerfrei arbeitet. Fehler in Programmen können daher nicht ausgeschlossen werden. (2) Mängelansprüche des Lizenznehmers setzen voraus, dass dieser seinen nach § 377 HGB geschuldeten Untersuchungs- und Rügeobliegenheiten ordnungsgemäß nachgekommen ist. (3) Soweit ein nicht unerheblicher Mangel des Lizenzmaterials vorliegt, ist Aurenz nach ihrer Wahl zur Nacherfüllung in Form einer Mangelbeseitigung oder zur Lieferung einer neuen mangelfreien Sache berechtigt. Sollte eine der beiden oder beide Arten der Nacherfüllung unmöglich oder unverhältnismäßig sein, ist Aurenz berechtigt, sie zu verweigern. Aurenz hat das Recht, im Rahmen ihrer Gewährleistungsverpflichtung fehlerhafte Hard- und Software bis zu zweimal zu reparieren oder auszutauschen. In dem hierfür erforderlichen Umfang wird der Lizenznehmer vor dem Austausch Softwareprogramme, Änderungen und Anbauten entfernen und Aurenz die erforderliche Zeit und Gelegenheit zur Durchführung der Nachbesserungsarbeiten einräumen. (4) Ein Mangel liegt nicht vor, wenn die Software mit Softwarekomponenten anderer Hersteller nicht kompatibel ist, sofern schriftlich nichts Abweichendes mit Aurenz vereinbart ist. Dem Lizenznehmer ist bekannt, dass die Software mit einem sog. Dongle kopiergeschützt sein kann. (5) Im Falle eines Defektes oder Ausfalls der Software kann es vorkommen, dass das Internet beim Lizenznehmer vollständig ausfällt und ein Zugang zum Internet bei dem Lizenznehmer zeitweilig nicht mehr möglich ist. Der Lizenznehmer wird daher darauf hingewiesen, dass er, möglichst bereits vor der Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 2 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. (3) (6) Ist die in Abs. (3) genannte Nacherfüllung unmöglich oder schlägt sie fehl, steht dem Lizenznehmer das Wahlrecht zu, entweder den Kaufpreis entsprechend herab zu setzen (Minderung) oder vom Vertrag nach den gesetzlichen Vorschriften zurückzutreten (Rücktritt). Bei einer nur geringfügigen Vertragwidrigkeit, insbesondere bei nur geringfügigen Mängeln, steht dem Lizenznehmer jedoch kein Rücktrittsrecht zu. Wählt der Lizenznehmer wegen eines Rechts- oder Sachmangels nach gescheiterter Nacherfüllung den Rücktritt vom Vertrag, steht ihm daneben kein Schadensersatz wegen des Mangels zu. (7) Ansprüche des Lizenznehmers wegen der zum Zweck der Nacherfüllung erforderlichen Aufwendungen, insbesondere Transport-, Wege-, Arbeits- und Materialkosten, sind ausgeschlossen, soweit die Aufwendungen sich erhöhen, weil die von Aurenz gelieferte Ware nachträglich an einen anderen Ort als den Erfüllungsort verbracht wurde. (8) Aurenz haftet unbeschränkt für Rechtsmängel und für das Fehlen von vereinbarten Beschaffenheitsgarantien. (9) Aurenz haftet für Schadensersatzansprüche des Lizenznehmers, die auf Vorsatz oder grober Fahrlässigkeit von Aurenz, einschließlich von Vorsatz oder grober Fahrlässigkeit ihrer gesetzlichen Vertreter und Erfüllungsgehilfen beruhen, nach den gesetzlichen Bestimmungen. Sofern Aurenz schuldhaft eine wesentliche Vertragspflicht verletzt, haftet Aurenz ebenfalls nach den gesetzlichen Bestimmungen. Eine wesentliche Vertragspflicht liegt vor, wenn sich die Pflichtverletzung auf eine Pflicht bezieht, auf deren Erfüllung der Lizenznehmer vertraut hat und auch vertrauen durfte. (10) Die Schadensersatzhaftung von Aurenz nach Abs. (9) ist auf den vertragstypischen Schaden begrenzt, mit dessen Entstehung bei Vertragsabschluss aufgrund der zu diesem Zeitpunkt bekannten Umstände gerechnet werden musste. Die Schadensersatzhaftung ist in jedem Fall auf das Fünffache des jeweiligen Lieferpreises für das bezogene Softwareprodukt begrenzt. (11) Bei leicht fahrlässigen Pflichtverletzungen ist die Haftung von Aurenz ausgeschlossen, soweit es sich hierbei nicht um Aurenz zurechenbare Schäden aus der Verletzung des Lebens, des Körpers, der Gesundheit oder einer wesentlichen vertraglichen Pflicht handelt. Bei Verletzung einer wesentlichen Vertragspflicht ist die Haftungsbeschränkung nach Abs. (10) entsprechend heran zu ziehen. (12) Für Schäden, die durch das Softwareprodukt nicht verursacht wurden, sondern die auf Grund anderweitiger Systemstörungen der Computeranlage beim Lizenznehmer unmittelbar oder mittelbar eintreten, insbesondere für hierauf beruhende Datenverluste und entgangenen Gewinn haftet Aurenz nicht. Gleiches gilt für Schäden, die auf mangelhafte, unsachgemäße Bedienung des Softwareprodukts oder unbefugte Programmänderungen durch den Lizenznehmer zurück zu führen sind und wenn entgegen den Hinweisen und Empfehlungen im Benutzerhandbuch gehandelt wurde; der Lizenznehmer trägt die Beweislast dafür, dass Schäden nicht auf mangelhafte, unsachgemäße Bedienung des Softwareprodukts oder unbefugte Programmänderungen durch ihn zurück zu führen sind und dass nicht entgegen den Hinweisen und Empfehlungen im Benutzerhandbuch gehandelt wurde. Aurenz übernimmt weiterhin keine Gewähr für natürliche Abnutzung, fehlerhafte oder nachlässige Behandlung, ungeeignete Betriebsmittel, chemische, elektrochemische oder elektrische Einflüsse (sofern sie nicht von Aurenz zu Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 3 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. Installation von WebFox, geeignete technische Vorkehrungen treffen sollte, die für den Fall eines Internetausfalls einen schnellen Wiederzugang zum Internet ermöglichen (z.B. Ermöglichung des Zugriffs auf einen anderen Proxy, etc.). Für Schäden, gleich welcher Art, die durch einen Internetausfall beim Lizenznehmer oder bei Dritten entstehen, haftet Aurenz nicht; eine solche Haftung ist ausgeschlossen. Dies gilt nicht, wenn der Schaden auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung von Aurenz oder einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung eines gesetzlichen Vertreters oder Erfüllungsgehilfen von Aurenz beruht. (13) Der Lizenznehmer hat vor der Installation eines von Aurenz erworbenen Softwareproduktes eine aktuelle Datensicherung vorzunehmen. Weiterhin hat der Lizenznehmer für eine fortlaufende, gefahrentsprechende Datensicherung nach der Installation Sorge zu tragen. Die Datensicherung ist auch vor dem Aufspielen von Updates und Upgrades und vor Durchführung von Wartungsarbeiten durchzuführen. Aurenz haftet nicht für Schäden, die durch Fehlen einer brauchbaren Datensicherung entstehen können. Die Haftung von Aurenz bei Datenverlust wird auf den Ersatz des typischen Wiederherstellungsaufwandes beschränkt, der auch bei regelmäßiger gefahrentsprechender Datensicherung eingetreten wäre. (14) Die Haftung von Aurenz wegen schuldhafter Verletzung des Lebens, des Körpers oder der Gesundheit bleibt unberührt. Dies gilt auch für die zwingende Haftung nach dem Produkthaftungsgesetz. (15) Ansprüche aus Herstellerregress bleiben unberührt. (16) Soweit nicht vorstehend etwas Abweichendes geregelt ist, ist die Haftung von Aurenz ausgeschlossen. (17) Die Mängelansprüche verjähren in einem Jahr ab Ablieferung der Ware. (18) Leistungen von Aurenz im Rahmen der Gewährleistung (z.B. das Zurverfügungstellen von Patches, Updates, Releases, Upgrades, etc.) führen weder zu einer Verlängerung noch zu einem Neubeginn der Gewährleistungsfrist. §4 Gesamthaftung (1) Eine weitergehende Haftung auf Schadensersatz als in § 3 vorgesehen, ist – ohne Rücksicht auf die Rechtsnatur des geltend gemachten Anspruchs – ausgeschlossen. Dies gilt insbesondere für Schadensersatzansprüche aus Verschulden bei Vertragsabschluss, wegen sonstiger Pflichtverletzungen oder wegen deliktischer Ansprüche auf Ersatz von Sachschäden gemäß § 823 BGB. (2) Die Begrenzung nach Abs. (1) gilt auch, soweit der Lizenznehmer Ersatz nutzloser Aufwendungen anstelle eines Anspruchs auf Schadensersatz statt der Leistung verlangt. (3) Soweit die Schadensersatzhaftung Aurenz gegenüber ausgeschlossen oder eingeschränkt ist, gilt dies auch im Hinblick auf die persönliche Schadensersatzhaftung der Angestellten, Arbeitnehmer, Mitarbeiter, gesetzlichen Vertreter und Erfüllungsgehilfen von Aurenz. §5 Schutz des Lizenzmaterials; Weitergabe (1) Unbeschadet der dem Lizenznehmer eingeräumten Nutzungsrechte behält Aurenz alle Rechte am Lizenzmaterial einschließlich aller vom Lizenznehmer hergestellten Kopien oder Teilkopien desselben. Das Eigentum des Lizenznehmers an Datenträgern, Datenspeichern oder sonstiger Hardware wird hiervon nicht berührt. (2) Der Lizenznehmer ist verpflichtet, die im Lizenzmaterial enthaltenen Schutzvermerke, wie CopyrightVermerke und andere Rechtsvorbehalte unverändert beizubehalten sowie in alle vom Lizenznehmer Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 4 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. vertreten sind), unsachgemäße und ohne vorherige Genehmigung durch Aurenz erfolgte Änderungen oder Instandsetzungsarbeiten seitens des Lizenznehmers oder Dritter. hergestellten vollständigen oder teilweisen Kopien des Lizenzmaterials in unveränderter Form zu übernehmen. (3) Dem Lizenznehmer ist es nicht gestattet, die Software und die Anwendungsdokumentation zu Erwerbszwecken zu vermieten. (4) Im Übrigen ist der Lizenznehmer zur Weitergabe der Software und der Anwendungsdokumentation nur berechtigt, sofern er a) die installierte Software und alle eventuell auf Festplatte oder Sicherungskopie gespeicherten Datenbestände gelöscht hat; b) der Empfänger sich schriftlich mit dem Inhalt und der Geltung dieser Lizenzvertragsbedingungen einverstanden erklärt; c) Aurenz diese schriftliche Einverständniserklärung übersandt wird und §6 Dauer des Vertrags (1) Der Vertrag läuft auf unbestimmte Zeit. (2) Das Recht des Lizenznehmers, die Software und die Anwendungsdokumentation zu nutzen, erlischt, sofern der Lizenznehmer die in diesem Vertrag festgelegten Nutzungsbedingungen verletzt. Eine Verletzung in diesem Sinne liegt sowohl bei Verstoß gegen die dem Lizenznehmer nach § 2 eingeräumten Nutzungsrechte als auch gegen die Vorschriften des § 5 Abs. 3 und 4 vor. (3) Im Fall des Abs. 2 ist der Lizenznehmer verpflichtet, die Originalsoftware und sämtliche Kopien der Datenträger zurückzugeben und erstellte Dateien auf der Rechnereinheit derart vollständig zu entfernen, dass diese nicht mehr zurückgewonnen werden können. (4) Die ordnungsgemäße Benutzung der Software und der Anwendungsdokumentation ist Bedingung für die nach diesem Lizenzvertrag eingeräumten Nutzungsrechte. Verstößt der Lizenznehmer hiergegen, endet seine Nutzungsbefugnis, ohne dass es einer Kündigung des Vertrags bedarf. §7 Anwendbares Recht Es gilt ausschließlich das Recht der Bundesrepublik Deutschland. Verweist dieses Recht auf eine ausländische Rechtsordnung, sind solche Verweisungen unwirksam. Die Anwendung des UNKaufrechts (CISG) ist ausdrücklich ausgeschlossen. ANHANG Lizenzbedingungen zwischen Aurenz und dem Lizenznehmer hinsichtlich der in § 1 Abs. 3 aufgeführten OpenSource-Produkte sowie von Open-Source-Libraries I. MySQL 5.0 Datenbank Aurenz räumt dem Endkunden hiermit folgende Rechte an der Kopie des Objektcodes des Datenbanksoftwareprodukts MySQL 5.0 Datenbank (nachfolgend "Produkt") ein: (1) Aurenz gewährt dem Endkunden ein einfaches, nicht ausschließliches, nicht übertragbares, dauerhaftes Recht zur Ausführung einer Kopie der Objektcodeversion des Produkts auf einem Rechner oder Instrument, soweit diese Kopie Teil der Kundenanwendung ist und zur Ausführung und Extraktion von Daten aus einer Kundenanwendung dient. (2) Die Rechte des Endkunden sind auf die Verfolgung interner Geschäftszwecke beschränkt. Dem Endkunden ist es untersagt, dass mehr als die Höchstzahl der autorisierten Benutzer das Produkt gleichzeitig abrufen und benutzen können. (3) Kopien des Produkts dürfen vom Endkunden allein zu Sicherungs- und Archivierungszwecken angefertigt werden. (4) Es ist dem Endkunden untersagt: a) das Produkt auf ein öffentliches oder verteiltes Netzwerk zu kopieren; c) das Produkt als allgemeinen SQL-Server oder als Standalone-Anwendung oder mit anderen Anwendungen als den Kundenanwendungen unter dieser Lizenz zu nutzen; d) Hinweise auf Schutzrechte, die im Produkt erscheinen, zu ändern oder zu löschen; e) das Produkt zu verändern. (5) Alle Rechte, insbesondere geistige Schutzrechte, an dem Produkt, einschließlich deren Bearbeitungen, stehen den jeweiligen Lizenzgebern zu. Die Lizenzgeber behalten sich alle Rechte vor. (6) Aurenz räumt dem Endkunden nur diejenigen Gewährleistungs- und Rechtsmängelansprüche ein, die Aurenz von MySQL gemäß Nr. 8 und 9 des in der Anlage I Abs. 10 beigefügten MySQL-OEM-Vertrages eingeräumt wurden. Die in Nr. 10 des MySQL-OEM-Vertrages aufgeführte Haftungsbeschränkung gilt im Verhältnis Aurenz/Endkunde entsprechend. (7) Dem Endkunden ist es gestattet, die durch die vorstehende Endkunden-LizenzVereinbarung gewährten Nutzungsrechte an dem Produkt zu übertragen, sofern a) der Endkunde alle von Aurenz auferlegten Übertragungsbedingungen einhält und alle Kopien des bei der Integration einer Kopie des Produkts mit einer Kundenanwendung entstehenden Produkts (integriertes Produkt) an den Übertragungsempfänger zusammen mit dem Endkunden-Lizenzvertrag ausliefert; b) der Übertragungsempfänger die Bedingungen und Bestimmungen des EndkundenLizenzvertrags der Übertragung akzeptiert; und c) wenn die Nutzungsrechte des Endkunden zur Nutzung des integrierten Produkts nach der Übertragung erlöschen. (8) Der Endkunde hat alle anwendbaren Exportgesetze und Exportvorschriften Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 6 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. b) das Produkt zum Betrieb in einer oder als Time-Sharing, Outsourcing-, Serviceunternehmen-, Hosting, Anwendungsdiensteanbieter oder sonstigen Dienstleister-Umgebung zu betreiben; einzuhalten. (9) Der Endkunde hat alle Kopien des Produkts nach Beendigung des Endkunden-Lizenzvertrags zu zerstören. (10) MySQL-OEM-Vertrag 1. Definitionen. "Bestellformular" bedeutet (a) das anwendbare MySQL-Bestellformular-Dokument, das von den Parteien unterzeichnet wird oder anderweitig von MySQL akzeptiert wird oder (b) die Produktbestellung des Kunden, die im MySQL-Online-Shop, welcher von der MySQL-Webseite abrufbar ist, abgegeben wird. "CPU" bedeutet eine einzelne Zentraleinheit in einem Computer. "Datum des Inkrafttretens" bedeutet das Datum, an dem MySQL die Annahme (per Post, Fax, E-Mail) des mittels eines Bestellformulars eingereichten Produktauftrags des Kunden erklärt. "Download-Website" bedeutet die MySQL-Webseite http://mysql.mysql.com/ oder eine alternative Seite, die MySQL dem Kunden von Zeit zu Zeit zum Herunterladen von Produkten mitteilt, z.B. durch Umleitung auf eine Webseite, E-Mail oder wie in Abschnitt 11.5 unten dargelegt. "Endbenutzer" bedeutet ein Endbenutzer eines Integrierten Produkts. "EULA" bedeutet einen schriftlichen Endbenutzer-Lizenzvertrag zwischen dem Kunden und Endbenutzern (oder einem Vertriebshändler und Endbenutzern), der die Rechte eines jeden Endbenutzers zur Verwendung eines Integrierten Produkts regelt. Jede EULA muss (a) von jedem Endbenutzer akzeptiert werden und (b) mit den Bedingungen und Bestimmungen dieses Vertrags vereinbar sein und muss Bedingungen enthalten, die im Wesentlichen den in Anhang A dieses Vertrags dargelegten Bedingungen entsprechen. "GPL-Lizenz" bedeutet Version 2 der GNU General Public License (allgemeine öffentliche Lizenz), die von der Free Software Foundation herausgegeben wird. "Hauptversion" bedeutet eine neue, allgemein erhältliche Version des Produkts während der Laufzeit, die typischerweise wesentliche neue Funktionen und/oder Verbesserungen enthält. Von MySQL zugewiesene Versionsnummern für Hauptversionen werden durch Änderungen links vom äußerst linken Dezimalpunkt ausgewiesen. "Implementiert" bedeutet, dass eine Kopie des Produkts als Teil eines Integrierten Produkts verkauft, versandt, vertrieben oder anderweitig auf einem Server (bzw. auf einer CPU, wenn es sich um MySQL Cluster handelt) bereit gestellt wird. "Integriertes Produkt" bedeutet das Produkt, das bei der Integration einer Kopie des Produkts mit einer Kundenanwendung entsteht. "Kundenanwendung" bedeutet die Software, Hardware, das System oder eine sonstige im Besitz oder Eigentum des Kunden befindliche Anwendung, welche auf dem Bestellformular beschrieben ist. "Laufzeit" bedeutet die gesamte Dauer des Vertrags, wie sie auf dem Bestellformular angegeben ist, vorbehaltlich des Abschnitts 5. "Demo-Lizenz" bedeutet ein Integriertes Produkt, welches vom Kunden gemäß einer Demo-, Test- oder Betatest-Lizenz lizenziert wurde und für das (a) der Kunde keine Vergütung erhält; (b) die Laufzeit einer jeden solchen Lizenz ist auf einen Zeitraum beschränkt, der sechzig (60) Tage nicht überschreitet; (c) diese Lizenz wird nicht erneuert oder der gleichen Person oder Gesellschaft mehr als einmal angeboten oder bereitgestellt; und (d) diese Lizenzen werden nicht als "Lockartikel" oder als kostenlose Produkte mit einem anderen Produkt oder einer Dienstleistung gebündelt angeboten. "Lizenzgebühr" bedeutet die nicht erstattungsfähige Gebühr, die an MySQL für jede Implementierte Kopie des Produkts zu zahlen ist (ausgenommen sind die ausdrücklich in Abschnitt 4.1 geregelten Ausnahmen). Die genauen Lizenzgebühren sind auf dem Bestellformular angegeben. "OEM" bedeutet Original Equipment Manufacturer (Originalhersteller). "Produkt" bedeutet eine komplette und unveränderte Kopie des Objektcodes des MySQL-Datenbanksoftwareprodukts, das auf dem Bestellformular angegeben ist, und zwar beschränkt auf die aufgelistete(n) Version(en) und beschränkt auf den Code, der vom Kunden von der Download-Website bezogen wird. Das Produkt umfasst alle Wartungsversionen und/oder Hauptversionen, die allgemein von MySQL während der Laufzeit zur Verfügung gestellt werden, vorausgesetzt es sind die anwendbaren Lizenzgebühren für die Wartungs- und/oder Hauptversion auf dem Bestellformular angegeben. Das Produkt umfasst auch die zum entsprechenden Zeitpunkt aktuelle Version der unterstützenden Software MySQL Connector/J, MySQL Connector/ODBC, MySQL Connector/MXJ und MySQL Connector/Net. "Server" bedeutet einen einzigen Rechner, der Daten mittels einer oder mehrerer CPUs verarbeitet. Wenn ein solcher Rechner Server-Blades enthält, gilt jedes Server-Blade als separater Server. "Server-Blade" bedeutet ein komplettes EDV-System auf einer einzigen Platine. Ein Server-Blade umfasst eine oder mehrere CPUs, Speicher, Plattenspeicher, Betriebssystem und Netzwerkverbindungen. Ein Server-Blade ist so ausgelegt, dass es bei laufendem Betrieb (hot-pluggable) in einem raumsparenden Rack eingefügt werden kann. Jedes Rack kann viele Server-Blades enthalten. "Support-Gebühr" bedeutet die nicht erstattungsfähige Jahresgebühr, die an MySQL für Support im Voraus zu zahlen ist. Die Support-Gebühr für das erste Jahr ist auf dem Bestellformular angegeben. Die Support-Gebühr für alle weiteren Jahre kann während der Laufzeit im alleinigen Ermessen von MySQL auf bis zu 105 % der Support-Gebühr des Vorjahres erhöht werden. "Vertriebshändler" ist ein Dritter, dem der Vertrieb eines Integrierten Produkts gemäß den Bestimmungen dieses Vertrags gestattet ist. "Wartungsversion" bedeutet eine neue, allgemein erhältliche Version des Produkts während der Laufzeit, die typischerweise Fehlerbehebungen (Fixes) und möglicherweise geringfügige neue Funktionen oder Verbesserungen enthält. Von MySQL zugewiesene Versionsnummern für Wartungsversionen werden durch Änderungen rechts vom äußerst linken Dezimalpunkt ausgewiesen. Sonstige großgeschriebene Begriffe können in diesem Vertrag im jeweiligen Kontext definiert werden und haben die angegebene Bedeutung im gesamten Vertrag (einschließlich aller Anlagen, Anhänge, Nachträge und ähnliches, soweit nichts anderes geregelt ist). Definitionen haben in der Form des Plurals die entsprechende Bedeutung. 2. Nutzungsrechte. 2.1 Als Gegenleistung für die in diesem Vertrag dargelegten Gebühren und vorbehaltlich der Bedingungen und Bestimmungen dieses Vertrags gewährt MySQL dem Kunden ein auf die Laufzeit dieses Vertrags beschränktes, einfaches, weltweites (vorbehaltlich anwendbarer Exportbeschränkungen), nicht ausschließliches und nicht übertragbares Recht: (a) zum Herunterladen des Produkts von der Download-Website; (b) zur Erstellung von Integrierten Produkten durch Integration des Produkts mit der Kundenanwendung, unter der Voraussetzung, dass die unterstützende Software (siehe Produkt-Definition oben) nur mit einer Kopie des Datenbanksoftwareteils des Produkts verwendet werden darf; Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 8 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. "Support" bedeutet die Stufe des jährlichen technischen MySQLSupports, die auf dem Bestellformular aufgeführt ist. Support wird in näheren Einzelheiten in Abschnitt 7 dieses Vertrags beschrieben. (c) zur Verwendung des Produkt-Quellcodes, aber nur soweit er auf der Download-Website im alleinigen Ermessen von MySQL zur Verfügung gestellt wird, und dies der Erleichterung der Integration gemäß Abschnitt 2.1(b) oben dient, vorausgesetzt der Kunde verändert den Quellcode nicht, ausgenommen sind jedoch solche Änderungen, die automatisch während der normalen Kompilierung des Quellcods in den Objektcode auftreten können; (d) zur Reproduktion und zum direkten oder über Vertriebshändler indirekten Vertrieb und zur Unterlizenzierung (gemäß eines EULA) von Kopien des Produktes, wie es im Integrierten Produkt enthalten ist, beschränkt auf die zu dem entsprechenden Zeitpunkt bezogene Menge des Produktes, für die Lizenzgebühren gezahlt wurden; zuzüglich einer angemessenen Anzahl des in Demo-Lizenzen enthaltenen Produkts ist; und (e) zum Support (Pflege und Wartung) von vertriebenen Kopien der Integrierten Produkte. 2.2 Der Kunde darf Folgendes nicht tun (und darf es auch keinen Dritten erlauben): (a) Nutzung (außer in dem Umfang, dernach Abschnitt 2.1(b) erforderlich ist) oder Vertrieb des Produkts in irgendeiner Weise, es sei denn als Teil eines Integrierten Produkts; (b) Verwendung des Produkts oder Integrierten Produkts zum Betrieb in einer oder als Time-Sharing-, Outsourcing-, Serviceunternehmen-, Hosting, Anwendungsdiensteanbieter oder sonstigen Dienstleister-Umgebung; (c) Verwendung oder Zurverfügungstellung des Produkts oder Integrierten Produkts unter einem Leasing- oder Mietvertrag; (d) Verwendung oder Zurverfügungstellung des Produkts oder Integrierten Produkts als allgemeiner SQL-Server oder gemäß einer öffentlichen oder Open-Source-Lizenz; (f) Veränderung oder Löschen von Schutzrechtshinweisen, die im Produkt erscheinen. 2.3 Der Kunde kann Vertriebshändler zum Zweck der Reproduktion, des Vertriebs und der Unterlizenzierung der Integrierten Produkte, wie dies in Abschitt 2.1(d) erlaubt wird, unter der Voraussetzung benennen, dass der Kunde: (a) von jedem Vertriebshändler eine schriftliche Zustimmung zu einem Vertrag verlangt, der (i) diesem Vertrag hinsichtlich der Lizenzierung und Implementierung des Produkts oder der Integrierten Produkte entspricht; und (ii) der nicht weniger Produktschutz bietet als die eigenen Verträge des Kunden, in denen Nutzungsrechte und/oder Vertriebsrechte für die Kundenanwendung gewährt werden; (b) seine Verträge mit Vertriebshändlern durchsetzt und MySQL über alle bekannten Vertragsverstöße informiert, soweit sie sich auf die Integrierten Produkte beziehen; und (c) MySQL verteidigt, schadlos hält und entschädigt für Schäden und Auslagen, die MySQL als Ergebnis der Handlungen oder Unterlassungen der Vertriebshändler, die eine Vertragsverletzung darstellen würden, entstanden sind, so als ob diese Handlungen oder Unterlassungen vom Kunden selbst begangen worden sind. 3. Ablieferung/Gefahrübergang. Der Kunde bezieht das Produkt durch Herunterladen von der Download-Website. MySQL stellt dem Kunden ein Kennwort für einen entsprechenden Teil der Download-Website zur Verfügung. 4. Bestellungen und Zahlungsmodalitäten; Steuern; Prüfungen. 4.1 Der Kunde zahlt an MySQL eine Lizenzgebühr für jede Produktkopie, die in einem Integrierten Produkt Implementiert wird. Ungeachtet des Vorstehenden ist keine Lizenzgebühr für eine angemessene Anzahl von Demolizenzen fällig oder geschuldet. Sind Wartungsversionen und/oder Hauptversionen als Teil des Produkts enthalten und aktualisiert der Kunde zu irgendeinem Zeitpunkt während der Laufzeit eine Implementierte Kopie des Integrierten Produkts auf eine Wartungs- oder Hauptversion des Produkts, dann muss der Kunde MySQL innerhalb von dreißig (30) Tagen nach einer Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 9 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. (e) Änderung des Produkts (oder des Quellcodes des Produkts), soweit dies nicht ausdrücklich in Abschnitt 2.1(c) erlaubt wird; oder jeden solchen Aktualisierung informieren und die zusätzlichen Lizenzgebühren bezahlen, die auf solche aktualisierten Kopien entfallen. Das Recht zur Nutzung der vorherigen Version entfällt automatisch nach deren Aktualisierung. 4.2 Wenn der Kunde Support bestellt, muss der Kunde MySQL die Jahres-Supportgebühr vorab bezahlen. 4.3 Alle Vergütungen im Rahmen dieses Vertrags sind wie im Vertrag ausgewiesen fällig und innerhalb von dreißig (30) Tagen ab Rechnungsdatum zahlbar. Gegen Forderungen von MySQL kann der Kunde nur mit unbestrittenen oder rechtskräftigen Forderungen aufrechnen. Alle Zahlungen, die gemäß dieses Vertrags getätigt werden, sind in der angegebenen Währung vorzunehmen und sind nicht erstattungsfähig. Der Kunde befindet sich automatisch, unabhängig von einer Mahnung oder Verschulden, mit seiner Zahlungsverpflichtung in Verzug, wenn er nicht innerhalb von dreißig (30) Tagen nach Zugang einer Rechnung oder einer vergleichbaren Zahlungsaufstellung zahlt. Bei Verzug ist der Kunde zur Zahlung von Verzugszinsen in Höhe von acht (8) Prozentpunkten über dem Basiszinssatz verpflichtet, bis der verbleibende Betrag beglichen ist. Nach einer schriftlichen Mitteilung kann MySQL entscheiden, den Support des Kunden für den Zeitraum der Nichtzahlung einzustellen, wenn die Zahlung nicht pünktlich eingeht. Sollte das Produkt über einen Wiederverkäufer und nicht direkt von MySQL erworben worden sein, wird der Support ausgesetzt, wenn der Wiederverkäufer nicht alle an MySQL zahlbaren Beträge beglichen hat. 4.5 Prüfungrechte. Während der Laufzeit dieses Vertrags und für ein (1) Jahr nach dessen Beendigung hat MySQL das Recht auf eigene Kosten, periodisch Prüfungen der Unterlagen des Kunden in Bezug auf die Reproduktion, Verwendung und den Vertrieb des Produkts durchzuführen, um die Einhaltung der Vertragsbedingungen seitens des Kunden sicherzustellen. MySQL wird die Ausübung dieses Rechts mindestens dreißig (30) Tage im Voraus ankündigen. Der Kunde wird MySQL angemessene Räumlichkeiten für die Prüfung, einschließlich der angemessenen Nutzung der vorhandenen Büroeinrichtung bereitstellen und den Zugang zu allen relevanten Mitarbeitern und Unterlagen des Kunden während der normalen Geschäftszeiten ermöglichen. MySQL stellt dem Kunden eine Kopie der Ergebnisse einer solchen Prüfung zur Verfügung. Wenn eine fehlende Bezahlung des vertraglich fälligen Betrages festgestellt wird (Unterzahlung), bezahlt der Kunde sofort den völlständigen Betrag jeglicher Unterzahlung. Der Kunde bezahlt MySQL auch die Kosten einer Prüfung, einschließlich (ohne Einschränkung) der Reisekosten und Kosten von Anwälten und Beratern, wenn die Prüfung ergibt, dass der Kunde die Gebühren für den Prüfzeitraum nicht komplett bezahlt hat, wobei die Unterzahlung über fünf Prozent (5 %) des korrekten, MySQL geschuldeten Betrags betragen muss. 4.6 Vierteljährliche Berichte und Zahlungen. Die Bestellungen des Kunden im Bestellformular sind bindend und nicht erstattungsfähig. Neben den verpflichtenden Bestellungen hat der Kunde auf vierteljährlicher Basis (Kalenderquartal) Lizenzgebühren für jegliche Implementierte Lizenzierte Software an MySQL zu entrichten, wenn und soweit die Anzahl der Implementierten Lizenzierten Software die Anzahl der bereits getätigten Verpflichtenden Bestellungen für Lizenzierte Software übersteigt. Der Kunde hat spätestens 30 Tage nach dem Ende eines jeden Kalenderquartals während der Laufzeit dieses Vertrags MySQL Folgendes bereitzustellen: (a) einen schriftlichen Bericht in dem von MySQL zur Verfügung gestellten Format (MySQL kann das Format für den schriftlichen Bericht jederzeit nach schriftlicher Benachrichtigung des Kunden in angemessener Weise ändern); und (b) Zahlung der geltenden Lizenzgebühr für jede Kopie der Implementierten Lizenzierten Software. Der vierteljährliche Bericht muss MySQL selbst dann bereitgestellt werden, wenn keine Lizenzgebühren fällig sind und/oder wenn keine Implementierte Lizenzierte Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 10 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. 4.4 Steuern. Alle Gebühren verstehen sich zuzüglich anwendbarer Steuern und Abgaben. Der Kunde ist für die Zahlung von Steuern und Abgaben jeglicher Art verantwortlich, die hinsichtlich der Lizenzierung des Produkts oder des Erwerbs von Support erhoben werden und die sich aus oder im Zusammenhang mit diesem Vertrag ergeben, mit Ausnahme der auf das Nettoeinkommen von MySQL erhobenen Steuern. Der Kunde ist für alle anwendbaren Umsatzsteuern verantwortlich, es sei denn, es wird vorab eine Umsatzsteuerbefreiung beansprucht, indem der Kunde MySQL eine Befreiungsbescheinigung, die von den zuständigen Behörden akzeptiert wird, vorlegt. Software zu melden ist. 5. Laufzeit und Kündigung. 5.1 Dieser Vertrag beginnt mit Datum des Inkrafttretens und besteht für die Laufzeit, es sei denn, er wird wie unten dargelegt früher gekündigt. 5.2 MySQL kann diesen Vertrag durch schriftliche Benachrichtigung an den Kunden im Fall einer (a) unzulässigen Nutzung des Produkts durch den Kunden oder (b) Unterlassung termingerechter Zahlung an MySQL seitens des Kunden kündigen. Darüber hinaus kann jede Partei diesen Vertrag mit sofortiger Wirkung außerordentlich kündigen, wenn die andere Partei gegen eine wesentliche Bestimmung dieses Vertrags verstößt und diesen Verstoß nicht innerhalb von dreißig (30) Tagen nach Erhalt einer entsprechenden schriftlichen Aufforderung behebt. 5.3 Der Kunde muss den Vertrieb der Integrierten Produkte unverzüglich nach Beendigung oder Kündigung dieses Vertrags einstellen. Sollte der Kunde Lizenzgebühren im Voraus an MySQL gezahlt haben, die für eine bestimmte Anzahl von Implementierten Kopien genutzt werden können oder sollte die Kündigung dieses Vertrags durch MySQL nicht aus wichtigem Grund erfolgen, dann kann der Kunde ungeachtet des Vorstehenden während eines Zeitraums von neunzig (90) Tagen, gerechnet unmittelbar ab Beendigung oder Kündigung dieses Vertrags, weiterhin die bereits bezahlten Integrierten Produkte, die er noch nicht vertrieben hat, gemäß den Bedingungen und Bestimmungen dieses Vertrags weiter nutzen. 6. Schutzrechte. Die gewerblichen Schutzrechte und sämtliche sonstigen Eigentumsrechte am Produkt und seiner dazugehörigen Dokumentation, einschließlich von Bearbeitungen, sind und verbleiben ausschließlich bei MySQL und/oder seinen Lieferanten. Vorbehaltlich einer ausdrücklichen Regelung in diesem Vertrag, ist der Vertrag so auszulegen, dass keine dieser Rechte an den Kunden oder einen Dritten übertragen werden. MySQL und seine Lieferanten behalten sich sämtliche Rechte vor, die nicht ausdrücklich in diesem Vertrag eingeräumt werden. MySQL, MySQL Pro, MySQL Network und MySQL Classic sind Marken von MySQL AB und dürfen vom Kunden nicht ohne eine ausdrückliche Zustimung von MySQL verwendet werden. Der Kunde muss in den Integrierten Produkten einen Hinweis aufnehmen, dass die Integrierten Produkte Software enthalten, deren Urheberrechte der MySQL AB zustehen oder deren Nutzungsrechte von MySQL AB eingeräumt werden. 7. Support. Der Support unterliegt den Bestimmungen dieses Vertrags und den Regelungen der jeweils aktuellen MySQL (a) Support-Richtlinien, (b) Auswahl der unterstützten Plattformen und (c) Beschreibung von Support-Merkmalen (http://www.mysql.com/company/legal/ verweist auf verlinkte Webseiten zu MySQL’s Support-Richtlinien und Angaben zu den unterstützten Plattformen und den Support-Merkmalen). Jeglicher Support wird ausschließlich als Third-Level-Support direkt gegenüber dem Kunden und nur für das Produkt, wie es im Integrierten Produkt enthalten ist, gewährt. Der Kunde ist veranwortlich für die Bereitstellung von First- und Second-Level-Support (z.B. Annahme von und Reaktion auf Kontaktaufnahmen und Anfragen der Endbenutzer). MySQL ist nicht verpflichtet, eine Kundenanwendung zu warten. 8. Gewährleistung. Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 11 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. 5.4 Die Beendigung oder die Kündigung dieses Vertrags gleich aus welchem Grund berührt nicht die Rechte bestehender Endbenutzer, in deren Namen der Kunde die anwendbaren Lizenzgebühren an MySQL gezahlt hat und die einer EULA unterliegen. Die Abschnitte 1, 4, 5, 6, 8, 9, 10 und 11 dieses Vertrags bleiben nach Beendigung und Kündigung dieses Vertrags, gleich aus welchem Rechtsgrund, wirksam. 8.1 Der Kunde erhält von MySQL keine Garantien und Beschaffenheitszusagen im Rechtssinne. Es wird keine Gewährleistung über die beschriebenen Funktionalitäten der Produkte in der Dokumentation hinaus übernommen. Öffentliche Äußerungen, Anpreisungen oder Werbung von MySQL oder von dritter Seite stellen keine vertragsgemäßen Beschaffenheitsangaben oder Garantien des Produktes dar. Der Kunde erkennt an, dass die Produkte nicht speziell für die Nutzung bei der Planung, der Konstruktion, der Wartung, der Kontrolle oder dem direkten Betrieb von Kernkraftwerken, Luftfahrtnavigations-, Kontroll- oder Kommunikationssystemen, Waffensystemen oder lebenserhaltenden Systemen entwickelt, hergestellt oder vorgesehen sind. 8.2 MySQL wird innerhalb angemessener Zeit rekonstruierbare Sachmängel des Produkts, die der Kunde unverzüglich schriftlich angezeigt und hinreichend beschrieben hat, beheben. Als Sachmängel gelten Abweichungen der Software von der Leistungsbeschreibung, u.a. in der begleitenden Dokumentation, soweit diese den Wert oder die Eignung des Produkts zur üblichen, dort beschriebenen Verwendung nicht nur unerheblich beeinträchtigen. Die Mängelbeseitigung erfolgt nach Wahl von MySQL zunächst durch Nachbesserung oder Nachlieferung. MySQL kann auch Bug Fixes, Updates oder Umgehungslösungen liefern. 8.4 Der Gewährleistungsanspruch entfällt hinsichtlich solcher Software oder Softwarekomponenten, die vom Kunden selbst geändert oder erweitert wurden, es sei denn, der Kunde beweist MySQL, dass solche Änderungen oder Erweiterungen für den Mangel nicht ursächlich waren. Der Gewährleistungsanspruch entfällt ferner für Mängel, Störungen oder Schäden, die auf unsachgemäße Bedienung, Fehler der Hardware, der Betriebssysteme, Nichtbeachtung der Datensicherungsvorschriften oder sonstige, außerhalb des Verantwortungsbereichs von MySQL liegende Vorgänge zurückzuführen sind oder wenn der Kunde MySQL darin behindert, die Ursache des gemeldeten Mangels zu untersuchen. 8.5 Ansprüche wegen Mängeln (Sach- und Rechtsmängel) der Produkte verjähren innerhalb von 12 Monaten nach Gefahrübergang. Hingegen gelten die gesetzlichen Verjährungsfristen bei Vorsatz oder grober Fahrlässigkeit, bei arglistigem Verschweigen von Mängeln, bei Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit sowie Garantien, ebenso bei Ansprüchen nach dem Produkthaftungsgesetz. Rechtsmängel richten sich im Übrigen nach Abschnitt 9. 9. Rechtsmängelhaftung. 9.1 MySQL verteidigt den Kunden gegen jegliche Ansprüche eines nicht verbundenen Unternehmens, die darauf beruhen, dass die Verwendung der Objektcodeversion des von MySQL gelieferten Produkts bei dessen Nutzung durch den Kunden im Rahmen dieses Vertrags eine Verletzung oder unberechtigte Nutzung eines Urheberrechts, das einem Dritten in den USA, Kanada, Japan oder einem Mitgliedstaat der Europäischen Union gehört, darstellt ("Anspruch"). MySQL bezahlt (a) einen Rechtsanwalt, der von MySQL mit der Verteidigung des Anspruchs betraut wird; (b) die angemessenen und nachweisbaren Auslagen, die dem Kunden direkt in Verbindung mit der Verteidigung des Anspruchs und/oder der Unterstützung von MySQL bei dessen Verteidigung entstanden sind; und (c) vorbehaltlich von Abschnitt 10, entweder den Schadensersatz, der einem solchen Dritten vom zuständigen Gericht (ggf. nach Erschöpfung der Rechtsmittel) zugesprochen wird oder den im Rahmen eines außergerichtlichen Vergleichs vereinbarten Betrag, sofern MySQL diesem Vergleich vorab zugestimmt hat. Die vorstehenden Verpflichtungen setzen voraus, dass der Kunde MySQL unverzüglich über alle Ansprüche informiert und MySQL die ausschließliche Kontrolle über die Verteidigung und Beilegung des Anspruchs einräumt und MySQL angemessen in Verbindung mit dem Anspruch unterstützt, ohne MySQL in irgendeiner Weise zu beeinträchtigen. Vorbehaltlich der vorstehenden Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 12 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. 8.3 Bleiben zwei Nachbesserungsversuche von MySQL erfolglos oder bietet MySQL keine fehlerfreie Vertragsleistung an, hat der Kunde ein Recht auf Rückgängigmachung des Vertrags (Rücktritt) oder auf angemessene Herabsetzung der Vergütung (Minderung). Bei einer nur geringfügigen Vertragswidrigkeit, insbesondere bei nur geringfügigen Mängeln, steht dem Kunden jedoch kein Rücktrittsrecht zu. Bedingungen ist es dem Kunden gestattet, auf eigene Kosten einen eigenen Anwalt zu beauftragen. 9.2 Wenn MySQL über einen Anspruch informiert wird, kann MySQL auf eigene Kosten und nach eigener Wahl: (a) dem Kunden das Recht zur weiteren vertragsgemäßen Nutzung des Produkts beschaffen; (b) das Produkt durch ein Produkt mit vergleichbarer Funktionalität ersetzen; (c) das Produkt verändern, so dass dieses die Rechte Dritter nicht mehr verletzt (z.B. durch Abschalten der gerügten Funktionalität); oder (d) den Vertrag kündigen und die betroffenen Lizenzen vom Kunden zurückkaufen, wobei der Kaufpreis abzüglich einer Wertminderung von fünfundzwanzig Prozent (25 %) pro Jahr oder anteilig für einen Teil des Jahres gerechnet ab dem Zahlungsdatum bis zum Datum der Rücknahme des Produkts berechnet wird. Wenn MySQL die Option (b), (c) oder (d) wählt, muss der Kunde sofort die Nutzung des vermeintlich verletzenden Produkts einstellen. 9.3 Wenn als Ergebnis eines Anspruchs ein zuständiges Gericht ein endgültiges Urteil (gegen das kein Rechtsmittel eingelegt wird) zur Einstellung der Nutzung eines Teils des Produkts durch den Kunden erlässt, wird MySQL nach eigener Wahl Abhilfe durch eine der im Abschnitt 9.2 genannten Optionen, schaffen. Wenn MySQL die Option (b), (c) oder (d) wählt, muss der Kunde sofort die Nutzung des vermeintlich verletzenden Produkts einstellen. 9.4 MySQL übernimmt keine Haftung für einen Anspruch, der sich aus Folgendem ergibt oder damit in Verbindung steht: (b) Kombination des Produkts mit einer Anwendung, einem Produkt, Daten oder Geschäftsprozessen ("Kundenspezifische Produkte"), die nicht von MySQL geliefert wurden; (c) Schäden, die durch ein solches Kundenspezifisches Produkt, das nicht von MySQL stammt, verursacht wurden; (d) Änderungen am Produkt, die nicht von MySQL vorgenommenen wurden; (e) von MySQL am Produkt vorgenommene Änderungen, die allein Designvorgaben, Spezifikationen oder Anleitungen umsetzen, die MySQL von oder im Namen des Kunden erhalten hat; (f) andauernde Nutzung oder der Vertrieb eines Produkts, für das MySQL dem Kunden Änderungen oder Ersatzprodukte bereitgestellt hat, wenn die Verwendung dieser Änderungen oder Ersatzprodukte den Anspruch verhindert hätten; oder (g) Nutzung des Produkts in einer Weise, die durch den Vertrag untersagt wird. Der Kunde muss MySQL alle Kosten oder Schäden, die sich aus den vorstehenden Handlungen ergeben, erstatten. 9.5 Der Kunde erklärt sich hiermit bereit, MySQL für jeglichen Schadensersatz, der MySQL endgültig von einem zuständigen Gericht auferlegt wird, schadlos zu halten, wenn dies auf Folgendem beruht oder in Zusammenhang steht mit: (a) der Behauptung, dass eine oder mehrere der Kundenanwendungen ein Urheberrecht, das einem Dritten in den USA, Kanada, Japan oder einem Mitgliedsstaat der Europäischen Union gehört, verletzt; (b) der Nutzung des Produkts auf eine Weise, die im Rahmen dieses Vertrags verboten ist, oder auf eine Weise, für die das Produkt nicht bestimmt ist; (c) der Integration oder Nutzung des Produkts mit einer oder mehreren Kundenanwendungen, wenn die Verwendung des Produkts allein keinen Rechtsmangel Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 13 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. (a) Nutzung des Produkts durch den Kunden, nachdem MySQL dem Kunden mitgeteilt hat, die Nutzung aufgrund eines solchen Anspruchs einzustellen; begründet; (d) Änderungen, die vom Kunden am Produkt vorgenommen werden, wenn die Nutzung des nicht modifizierten Produkts keinen Rechtsmangel darstellen würde; (e) Änderungen, die am Produkt von MySQL unter Einhaltung aller vom oder im Namen des Kunden bereitgestellten Designvorgaben, Spezifikationen oder Anleitungen vorgenommen werden; oder (f) etwaigen Personen-, Sach- oder sonstigen Schäden oder Verletzungen aufgrund der Nutzung oder Unmöglichkeit der Nutzung eines Integrierten Produkts (vorbehaltlich der Schadloshaltung des Kunden durch MySQL gemäß Abschnitt 9.1); und zwar jeweils unter folgenden Voraussetzungen: (i) Der Kunde wird sofort über den Anspruch schriftlich benachrichtigt und (ii) für den Fall, dass der Kunde sich zur Zahlung für die Verteidigung des Anspruchs entschieden hat und MySQL darüber schriftlich in Kenntnis gesetzt hat: wird dem Kunden die sofortige und umfassende Kontrolle über die Verteidigung und/oder Beilegung des Anspruchs gegeben und MySQL kooperiert mit und unterstützt den Kunden bei der Verteidigung eines solchen Anspruchs und beeinträchtigt in keiner Weise dessen Verfolgung durch den Kunden. 9.6 Die vorstehenden Bestimmungen des Abschnitts 9 beinhalten sämtliche Verpflichtungen und Ansprüche der Parteien hinsichtlich der Verletzung oder des Verstoßes gegen Schutzrechte Dritter und unterliegen im Übrigen den Einschränkungen gemäß Abschnitt 10 dieses Vertrags. Die Haftung beider Parteien sowie ihrer Organe, Arbeitnehmer, Vertreter und Erfüllungsgehilfen wird im Zusammenhang mit diesem Vertrag beschränkt und, soweit zulässig, ausgeschlossen. Beide Parteien haften unbeschränkt für Vorsatz und grobe Fahrlässigkeit, Ansprüche aus dem Produkthaftungsgesetz und für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit. Darüber hinaus haften der Kunde und seine Vertriebshändler unbeschränkt für die Verletzung geistiger Schutzrechte von MySQL. Im Übrigen haftet jede Partei nur bei leichter Fahrlässigkeit bei Verletzung vertragswesentlicher Pflichten (Kardinalpflichten). Die Haftung ist beschränkt auf den typischen, vorhersehbaren Schaden und ist ausgeschlossen für Folge- oder indirekte Schäden und entgangenen Gewinn (ob aufgrund von beschädigten oder verloren gegangenen Daten, Software- oder Computerfehlern, Supportausällen oder sonstigen Ursachen). Der typische, vorhersehbare Schaden ist begrenzt (i) für MySQL’s Haftung auf den an MySQL im Rahmen dieses Vertrags gezahlten Betrag und (ii) für den Kunden auf den im Rahmen dieses Vertrags gezahlten und geschuldeten Betrag. Die Haftung ist im Übrigen, soweit dies nach anwendbarem Recht zulässig ist, ausgeschlossen. 11. Verschiedenes. 11.1 Salvatorische Klausel. Sollte eine Bestimmung dieses Vertrags unwirksam oder nicht durchsetzbar sein oder dies werden, so berührt dies die Gültigkeit der übrigen Bestimmungen dieses Vertrags ebenso wenig wie die Wirksamkeit des gesamten Vertrags. Anstelle der unwirksamen oder nicht durchsetzbaren Bestimmung werden die Parteien nach Treu und Glauben eine Bestimmung vereinbaren, die dem Zweck der unwirksamen oder nicht durchsetzbaren Bestimmung und den Interessen der Parteien, wie sie sich aus diesem Vertrag ergeben, möglichst nahe kommt. 11.2 Abtretung. Der Kunde kann nach Benachrichtigung der MySQL diesen Vertrag nur insgesamt im Zuge einer Unternehmensumstrukturierung, Konsolidierung, Fusion oder eines Verkaufs von im Wesentlichen allen Vermögenswerten abtreten, vorausgesetzt der Kunde tritt diesen Vertrag nicht an einen direkten Wettbewerber von MySQL ab (d.h. eine natürliche oder juristische Person, die Datenbankprodukte und damit in Zusammenhang stehende Dienst- oder Werkleistungen anbietet). Darüber hinaus darf der Kunde diesen Vertrag oder seine Rechte oder Verpflichtungen im Rahmen dieses Vertrags nicht an eine Person oder Partei ohne die vorherige Zustimmung von MySQL übertragen oder abtreten (wobei die Erteilung dieser Zustimmung im alleinigen Ermessen von MySQL liegt), gleichgültig ob die Abtretung kraft Gesetzes oder Rechtsgeschäft erfolgt. Jeder Versuch des Kunden, diesen Vertrag ohne die vorherige Zustimmung von MySQL zu übertragen, sollte diese erforderlich sein, ist unwirksam. Vorbehaltlich der vorstehenden Bedingungen ist dieser Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 14 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. 10. Haftungsbeschränkung. Vertrag für jede Partei und ihre zulässigen Rechtsnachfolger und Abtretungsempfänger mit dessen Abtretung rechtlich bindend. Dieser Vertrag ist nicht drittbegünstigend. 11.3 Kein Verzicht; Einschränkungen. Die Unterlassung einer der Parteien, ein Recht oder einen Rechtsbehelf im Rahmen dieses Vertrags auszuüben oder wahrzunehmen, stellt keine Duldung des Ereignisses oder Verwirkung des Rechts dar, das dieses Recht oder diesen Rechtsbehelf begründet. In dem nach dem anwendbaren Recht zulässigen Maß darf der Kunde keine Klage (gleichgültig in welcher Form), die sich aus diesem Vertrag ergibt, mehr als ein (1) Jahr nach dem Entstehen des Klagegrundes einreichen. 11.4 Geltendes Recht. 11.4.1 Dieser Vertrag unterliegt ausschließlich deutschem Recht unter Ausschluss etwaig anwendbarer Bestimmungen des internationalen Privatrechts und des UN-Kaufrechts (CISG). 11.4.2 Ausschließlicher Gerichtsstand für alle Streitigkeiten gegen MySQL aus und im Zusammenhang mit diesem Vertrag ist München. Klagt MySQL, ist MySQL auch berechtigt, den Gerichtsstand des Kunden zu wählen. Ungeachtet dessen kann jede der Parteien ein Urteil, welches von einem solchen Gericht ausgesprochen wurde, in jedem zuständigen Gericht vollstrecken lassen und MySQL kann zudem einstweiligen Rechtsschutz vor jedem zuständigen Gericht beantragen, um seine gewerblichen Schutzrechte durchzusetzen 11.5 Benachrichtigungen. Soweit die Parteien nichts anderes vereinbart haben, werden alle Mitteilungen, Ermächtigungen oder Zustimmungen, die im Rahmen dieses Vertrags erforderlich sind oder die erteilt werden können, schriftlich gemacht und an die Anschrift der anderen Partei, die auf dem Bestellformular angegeben ist, adressiert und zugestellt (Bei Bestellungen des Kunden im MySQL Online-Shop sind Benachrichtigungen an MySQL Inc., 2510 Fairview Avenue East, Seattle, WA 98102, USA zu richten; Benachrichtigungen an den Kunden werden an die auf dem Bestellformular angegebene Adresse geschickt). Benachrichtigungen an MySQL sind an "Contracts Administration" zu adressieren. Benachrichtigungen gelten als zugegangen: (a) am Tag der Absendung, wenn sie per bestätigter Faxübertragung verschickt werden; (b) am fünften Geschäftstag, nachdem die Benachrichtigung bei der örtlichen Post vorfrankiert aufgegeben wurde; oder (c) am Empfangstag, falls sie mit einem anerkannten Übernacht-Expresskurier oder internationalen Kurierdienst oder persönlich zugestellt wurde. Jede Partei kann ihre Anschrift für Benachrichtigungszwecke durch entsprechende Benachrichtigung nach Maßgabe dieses Abschnitts ändern. 11.6 Unabhängige Vertragspartner. Die Parteien treten bei Abschluss dieses Vertrags gegenüber der jeweils anderen Partei als unabhängige Vertragspartner auf und bleiben dies auch. Mit keiner Bestimmung dieser Vereinbarung wird beabsichtigt, zwischen den Parteien eine Partnerschaft, ein Joint Venture, eine Handelsvertretung oder ein Beschäftigungsverhältnis zu begründen. 11.7 Exportbestimmungen. Der Kunde erkennt an, dass das Produkt Aus- und Einfuhrkontrollgesetzen unterliegen kann und verpflichtet sich, diese Gesetze in Verbindung mit dem Produkt vollständig einzuhalten. Der Kunde erklärt sich damit einverstanden, dass das Produkt nicht direkt oder indirekt an sanktionierte oder mit Embargo belegte Länder oder Staatsangehörige versandt, übertragen oder reexportiert wird, dass es auch nicht zu diesem Zweck erworben wird und ferner nicht für folgende Zwecke verwendet wird: Kernkraftaktivitäten, chemische oder biologische Waffen oder Raketenprojekte, außer wenn diese von der US-Regierung genehmigt wurden. Der Kunde bestätigt hiermit, dass er nicht durch ein Verbot seitens der US-Regierung von der Teilnahme an Export- oder Reexport-Transaktionen ausgeschlossen ist. Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 15 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. 11.4.3 Der Kunde hält alle einschlägigen und anwendbaren Gesetze in Bezug auf die Nutzung und den Vertrieb des Produkts, wie sie nach diesem Vertrag zulässig sind, auf eigene Kosten ein. 11.8 Höhere Gewalt. Mit Ausnahme der Erfüllung einer Zahlungsverpflichtung ist keine der Parteien der anderen gegenüber wegen Nichterfüllung dieses Vertrags verantwortlich, wenn die Nichterfüllung aufgrund höherer Gewalt erfolgt, beispielsweise aufgrund der Nichtverfügbarkeit von Kommunikationseinrichtungen oder Energiequellen, von Handlungen der anderen Partei, Handlungen von Regierungsbehörden, Brand, Streiks, Transportverzögerungen, Aufständen, Terrorismus, Krieg oder anderen Ursachen, die sich einer angemessenen Kontrolle dieser Partei entziehen. 11.9 Vertraulichkeit. Keine der Parteien darf die finanziellen oder individuell vereinbarten Bestimmungen dieses Vertrags ohne die vorherige schriftliche Zustimmung der anderen Partei offenlegen. Ungeachtet des Vorstehenden hat MySQL das Recht, den Kunden als kommerziellen Lizenznehmer von MySQL-Software zu identifizieren, zum Beispiel durch einen entsprechenden Hinweis auf der MySQL-Website (www.mysql.com oder www.mysql.de). 11.11 Gesamte Vereinbarung. Dieser Vertrag stellt die gesamte Vereinbarung zwischen den Parteien hinsichtlich des Vertragsgegenstandes dar und ersetzt alle vorherigen mündlichen oder schriftlichen Angebote, Abmachungen und sonstige Vereinbarungen zwischen den Parteien hinsichtlich des Vertragsgegenstandes. Sofern nicht ausdrücklich etwas anderes geregelt ist, kann dieser Vertrag nur durch eine schriftliche Vereinbarung, die von beiden Parteien unterzeichnet ist, ergänzt oder geändert werden. Dieser Vertrag kann durch Bezugnahme in einem anderen Dokument (z.B. Bestellformular, Einzelauftrag) wirksam werden oder per Fax oder E-Mail (als Anhang im Pdf-Format oder einem anderen vereinbarten Dokumentenformat) zustande kommen. Im letzteren Fall gilt eine Fax- oder die per E-Mail verschickte Vertragskopie als Originalvertrag und ist unter Verzicht auf das Schriftformerfordernis wirksam. Dieser Vertrag kann in zweifacher Ausfertigung abgeschlossen werden, wobei beide Ausfertigungen zusammen einen einzelnen Vertrag zwischen den Parteien darstellen. Im Falle eines Konflikts oder eines Widerspruchs zwischen den Bestimmungen dieses Vertrags und anderen oder weiteren Bestimmungen, auf die der Kunde gegenüber MySQL in Dokumenten oder auf einer Webseite Bezug nimmt, haben die Bestimmungen dieses Vertrags Vorrang. Die Annahme eines solchen Dokuments durch MySQL wird nicht als Annahme von Bestimmungen ausgelegt, die in irgendeiner Weise im Konflikt oder Widerspruch zu diesem Vertrag stehen oder über diesen hinausgehen, es sei denn, diese Bestimmungen werden separat und ausdrücklich in schriftlicher Form von einem dazu berechtigten Vertreter der MySQL angenommen. 12. Veröffentlichungen. Während der Laufzeit dieses Vertrags erklärt sich der Kunde bereit, als Referenz für MySQL zu fungieren, an einer MySQL-Anwenderbericht teilzunehmen und an einer Pressemitteilung bezüglich des Produktabonnoments durch den Kunden teilzunehmen, und zwar wie folgt: (a) Referenz. Als Referenz erklärt sich der Kunde bereit, von Zeit zu Zeit wohlwollend mit Medien und/oder MySQL-Kunden oder potenziellen Neukunden über seine Verwendung der MySQL-Produkte und MySQL-Dienstleistungen zu sprechen. Solche Referenzen sind auf eine angemessene Anzahl und den gemeinsam vereinbarten Inhalt beschränkt; (b) Anwenderbericht. Der Kunde erklärt sich bereit, geeignetes Personal zur Befragung für einen MySQLAnwenderbericht zur Verfügung zu stellen, das die erfolgreiche nutzung des Produkts durch den Kunden beschreiben kann. MySQL darf den Anwenderbericht ohne Beschränkung hinsichtlich Menge und Form veröffentlichen. Vor der Veröffentlichung des Anwenderberichts stellt MySQL diese dem Kunden zur Prüfung und Genehmigung zur Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 16 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. 11.10 GPL. Dem Kunden ist bekannt, dass das Produkt allgemein gemäß der GPL-Lizenz zur Verfügung steht. Dieser Vertrag ersetzt die GPL-Lizenz ausschließlich im Hinblick auf die Nutzung, den Vertrieb und die Unterlizenzierung des Produkts durch den Kunden, soweit dies ausdrücklich in diesem Vertrag gestattet ist. Dieser Vertrag berührt keine Kundenrechte oder -verpflichtungen gemäß der GPL-Lizenz hinsichtlich jeder sonstigen Nutzung, des Vertriebs oder der Unterlizenzierung des Produkts, welche nicht ausdrücklich in diesem Vertrag geregelt ist. Verfügung, wobei die Genehmigung nicht unangemessen verweigert oder verzögert werden darf; und (c) Pressemitteilung. MySQL kann eine Pressemitteilung herausgeben, in der MySQL bekannt gibt, dass der Kunde das Produkt abonniert. Der Kunde kann nach eigenem Ermessen ebenfalls eine Pressemitteilung über den miteinander vereinbarten Inhalt herausgeben. Keine der Parteien darf ihre Pressemitteilung veröffentlichen, ohne diese zuvor der anderen Partei zur Prüfung und Genehmigung zur Verfügung gestellt zu haben, wobei diese Genehmigung nicht unangemessen verweigert oder verzögert werden darf. Anhang A EULA-Mindestbedingungen EULAs müssen mindestens folgenden Bestimmungen enthalten: 1. Die Nutzungsrechte (Endbenutzerlizenz) sind auf ein einfaches, nicht ausschließliches, nicht übertragbares, dauerhaftes Recht zur Ausführung einer Kopie der Objektcodeversion des Produkts auf einem Rechner oder Instrument zu beschränken, soweit diese Kopie Teil der Kundenanwendung ist und zur Ausführung und Extraktion von Daten aus einer Kundenanwendung dient. 2. Die Rechte des Endbenutzers sind auf die Verfolgung interner Geschäftszwecke zu beschränken. Wenn das Integrierte Produkt zur gleichzeitigen Nutzung oder zur Nutzung in einem Netzwerk lizenziert wird, muss die EULA dem Endbenutzer verbieten, dass mehr als die Höchstzahl der autorisierten Benutzer das Produkt gleichzeitig abrufen und benutzen können. 4. Dem Endbenutzer ist es zu untersagen: (a) das Produkt auf ein öffentliches oder verteiltes Netzwerk zu kopieren; (b) das Produkt zum Betrieb in einer oder als Time-Sharing-, Outsourcing-, Serviceunternehmen-, Hosting, Anwendungsdiensteanbieter oder sonstigen Dienstleister-Umgebung zu betreiben; (c) das Produkt als allgemeinen SQL-Server oder als Standalone-Anwendung oder mit anderen Anwendungen als den Kundenanwendungen unter dieser Lizenz zu nutzen; (d) Hinweise auf Schutzrechte, die im Produkt erscheinen zu ändern oder zu löschen; oder (e) das Produkt zu verändern. 5. Der Endbenutzer ist deutlich darauf hinzuweisen, dass alle Rechte, insbesondere geistige Schutzrechte, an den Produkten, einschließlich deren Bearbeitungen, den jeweiligen Lizenzgebern zustehen und diese sich alle Rechte vorbehalten. 6. Dem Endbenutzer ist zu erlauben, die durch die EULA gewährten Nutzungsrechte zuübertragen, aber nur wenn (a) der Endbenutzer alle vom Kunden auferlegten Übertragungsbedingungen einhält und alle Kopien des Integrierten Produkts an den Übertragungsempfänger zusammen mit der EULA ausliefert, (b) der Übertragungsempfänger die Bedingungen und Bestimmungen der EULA als Bedingung der Übertragung akzeptiert, und (c) wenn die Nutzungsrechte des Endbenutzers zur Nutzung des Integrierten Produkts nach der Übertragung erlöschen. 7. Dem Endbenutzer ist aufzuerlegen, alle anwendbaren Exportgesetze Lizenzvergabebedingungen WebFox (Stand: 05/2010) | Seite 17 von 52 | © aurenz GmbH | Alle Rechte vorbehalten. 3. Der Endbenutzer darf Kopien des Produkts lediglich zu Sicherungs- und Archivierungszwecken anfertigen. und -vorschriften einzuhalten. 8. Dem Endbenutzer ist aufzuerlegen, sofort alle Kopien des Produkts nach Beendigung der EULA zu zerstören. II. Squid-Proxy 2.7 Stable (1) Squid-Proxy 2.7 Stable unterliegt als Open-Source-Programm der von der Free Software Foundation veröffentlichten GNU General Public License (GPL), die in der Anlage II Abs. 7 beigefügt ist (auf Wunsch senden wir Ihnen eine rechtlich unverbindliche, deutsche Übersetzung zu). Aurenz hat die GPL zur Kenntnis genommen und ihr zugestimmt. (2) Aurenz hat von dem Quelltext des vorgenannten Programms (nachfolgend "Programm") eine unveränderte Kopie angefertigt und diese in die Software WebFox integriert, wobei das Programm in der Software WebFox eigenständig und unabhängig ist. (3) Das Programm ist von der Free Software Foundation, Inc. folgendem Copyright unterstellt: Copyright © 1989, 1991, Free Software Foundation, Inc., 51 Franklin St, Fifth Floor, Boston, MA 02110, USA. (4) Der Endkunde darf das Programm allein unter den Bedingungen der in der Anlage II Abs. 7 beigefügten GPL verbreiten. This Agreement is the entire agreement between you and Sun relating to its subject matter. It supersedes all prior or contemporaneous oral or written communications, proposals, representations and warranties and prevails over any conflicting or additional terms of any quote, order, acknowledgment, or other communication between the parties relating to its subject matter during the term of this Agreement. No modification of this Agreement will be binding, unless in writing and signed by an authorized representative of each party. SUPPLEMENTAL LICENSE TERMS These Supplemental License Terms add to or modify the terms of the Binary Code License Agreement. Subject to the terms and conditions of this Agreement and restrictions and exceptions set forth in the Software README file, including but not limited to the Java Technology Restrictions of these Supplemental Terms, Sun grants you a non-exclusive, non-transferable, limited license without fees to reproduce and distribute those files specifically identified as redistributable in the Software "README" file ("Redistributables") provided that: (i) you distribute the Redistributables complete and unmodified, and only bundled as part of Programs, (ii) the Programs add significant and primary functionality to the Redistributables, (iii) you do not distribute additional software intended to supersede any component(s) of the Redistributables (unless otherwise specified in the applicable README file), (iv) you do not remove or alter any proprietary legends or notices contained in or on the Redistributables, (v) you only distribute the Redistributables pursuant to a license agreement that protects Sun's interests consistent with the terms contained in the Agreement, (vi) you agree to defend and indemnify Sun and its licensors from and against any damages, costs, liabilities, settlement amounts and/or expenses (including attorneys' fees) incurred in connection with any claim, lawsuit or action by any third party that arises or results from the use or distribution of any and all Programs and/or Software. D. Java Technology Restrictions. You may not create, modify, or change the behavior of, or authorize your licensees to create, modify, or change the behavior of, classes, interfaces, or subpackages that are in any way identified as "java", "javax", "sun" or similar convention as specified by Sun in any naming convention designation. E. Distribution by Publishers. This section pertains to your distribution of the Software with your printed book or magazine (as those terms are commonly used in the industry) relating to Java technology ("Publication"). Additional copyright notices and license terms applicable to portions of the Software are set forth in the THIRDPARTYLICENSEREADME.txt file. In addition to any terms and conditions of any third party opensource/freeware license identified in the THIRDPARTYLICENSEREADME.txt file, the disclaimer of warranty and limitation of liability provisions in paragraphs 5 and 6 of the Binary Code License Agreement shall apply to all Software in this distribution. H. Termination for Infringement. Either party may terminate this Agreement immediately should any Software become, or in either party's opinion be likely to become, the subject of a claim of infringement of any intellectual property right.
