User Guide – V 2.x
1. This Agreement is the exclusive agreement between you and us concerning the Software and
Documentation and supersedes any and all prior oral or written agreements, negotiations or other
dealings between us concerning the Software.
2. This Agreement may be modified only by a writing signed by you and us.
3. In the event of litigation between you and us concerning the Software or Documentation, the
prevailing party in the litigation will be entitled to recover attorney fees and expenses from the other
party.
4. This Agreement shall be governed by and construed and interpreted in accordance with the laws of
the Commonwealth of Pennsylvania without giving effect to otherwise applicable principles of conflict of
law. Any action or counterclaim hereon shall be commenced or asserted, as the case may be, only in the
Court of Common Pleas of Berks County, Pennsylvania, or the United States District Court for the
Eastern District of Pennsylvania. All parties hereto consent to the jurisdiction of such courts and waive
any objection based on forum non conveniens.
5. You agree that the Software will not be shipped, transferred or exported into any country or used in
any manner prohibited by the United States Export Administration Act or any other export laws,
restrictions or regulations.
