IMPORTANT-READ CAREFULLY
This Cerience End-User License Agreement ("EULA") is a legal agreement between you
(either an individual or a single entity) and Cerience Corporation for RepliGo Reader
("Software"), which includes handheld computer software and may include associated media,
printed materials, and "online" or electronic documentation. By installing, copying, or
otherwise using the Software, you agree to be bound by the terms of this EULA. If you do
not agree to the terms of this EULA, you are not permitted to install or use the Software.
The Software is protected by copyright laws and international copyright treaties, as well as
other intellectual property laws and treaties. This Software is licensed, not sold.
END-USER LICENSE
If you have purchased a single license, you have the right to install and use one copy of the
Software on a single handheld computer. If you have purchased a multiple user license, you
may install and use the Software ONLY for the maximum number of users permitted by
your license. You may permanently transfer all of your rights under this EULA, provided the
recipient agrees to the terms of this EULA. Without prejudice to any other rights, Cerience
may terminate this EULA if you fail to comply with the terms and conditions of this EULA.
In such event, you must destroy all copies of the Software.
COPYRIGHT AND RESTRICTIONS
All title and copyrights in and to the Software are owned by Cerience or its suppliers. The
Software is protected by copyright laws and international treaty provisions. You may not
reverse engineer, decompile, or disassemble the Software, except and only to the extent that
such activity is expressly permitted by applicable law notwithstanding this limitation. If this
Software is part of a "beta" or "pre-release" program offered by Cerience, you must treat it
as confidential and may not disclose any information regarding the Software to any third
party without prior approval from Cerience.
SUPPORT SERVICES
Cerience may provide you with support services related to the Software ("Support Services").
Use of Support Services is governed by the Cerience policies and programs described in the
user manual, in "online" documentation, and/or in other Cerience-provided materials. Any
supplemental software code provided to you as part of the Support Services shall be
considered part of the Software and subject to the terms and conditions of this EULA. With
respect to technical information you provide to Cerience as part of the Support Services,
Cerience may use such information for its business purposes, including for product support

and development. Cerience will not utilize such technical information in a form that
personally identifies you.
U.S. GOVERNMENT RESTRICTED RIGHTS
The Software and documentation are provided with RESTRICTED RIGHTS. Use,
duplication, or disclosure by the Government is subject to restrictions as set forth in
subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at
DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer
Software-Restricted Rights at 48 CFR 52.227-19, as applicable. Manufacturer is Cerience
Corporation/2950 East Harmony Road, Suite 250/Fort Collins, CO 80528.
NO WARRANTIES
Cerience expressly disclaims any warranty for the Software. The Software and any related
documentation is provided "as is" without warranty of any kind, either express or implied,
including, without limitation, the implied warranties or merchantability, fitness for a
particular purpose, or noninfringement. The entire risk arising out of use or performance of
the Software remains with you.
NO LIABILITY FOR DAMAGES
In no event shall Cerience or its suppliers be liable for any damages whatsoever (including,
without limitation, damages for loss of business profits, business interruption, loss of
business information, or any other pecuniary loss) arising out of the use of or inability to use
this Cerience product, even if Cerience has been advised of the possibility of such damages.
Because some states/jurisdictions do not allow the exclusion or limitation of liability for
consequential or incidental damages, the above limitation may not apply to you.
GENERAL
This EULA is governed by the laws of the State of Colorado.
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT,
UNDERSTAND IT AND AGREE TO BE BOUND BY IT. YOU FURTHER AGREE
THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT
BETWEEN YOU AND CERIENCE. IF YOU DO NOT AGREE, YOU ARE NOT
PERMITTED TO CONTINUE WITH THE INSTALLATION OR USE OF THE

When using the Google Cloud Messaging services, the following prohibitions apply:
 You will not perform an action with the intent of introducing to Google products and
services any viruses, worms, defects, Trojan horses, malware or any items of a destructive
nature.
 You will not defame, abuse, harass, stalk or threaten others.
 You will not interfere with or disrupt the APIs or the servers or networks providing the
APIs.
 You will not promote or facilitate unlawful online gambling or disruptive commercial
messages or advertisements.
 You will not reverse engineer or attempt to extract the source code from any API or any
related software, except to the extent that this restriction is expressly prohibited by
applicable law.
 You will not use the APIs to encourage or promote illegal activity.
 Google may set limits on the number of API requests that you can make, at its sole
discretion, and you agree to such limitations and will not attempt to circumvent such
limitations.
Ownership: If you provide feedback or suggestions about Google’s services, then
Google may use such information without obligation to you. By using the Google services
you do not acquire ownership of any rights to such services or the content that is accessed
through the APIs for such services. You will not make any statement regarding your use of
a Google service which suggests partnership with, sponsorship by or endorsement by
Google without Google’s prior written approval.
Termination: Google reserves the right to terminate these terms or discontinue the
services or any portion or feature for any reason and at any time without liability or other
obligation to you. Upon termination of these terms or discontinuation of your access to the
services, you will immediately stop using the Google services. When these terms come to an
end, those terms that by their nature are intended to continue indefinitely will continue to
apply, including but not limited to the warranties, limitation of liability, indemnity and
modifications sections below.
Warranties: Neither Google nor its suppliers or distributors make any specific
promises about the APIs. For example, we don't make any commitments about the

quality of the APIs or the content accessed through the APIs, their reliability,
availability or ability to meet your needs. The APIs and content accessed through the
APIs are provided "as is". Some jurisdictions provide for certain warranties, like the
implied warranty of the merchantability, fitness for a particular purpose and noninfringement. To the extent permitted by law, we exclude all implied warranties.
Limitation of Liability: When permitted by law, Google, and Google's suppliers and
distributors, will not be responsible for lost profits, revenues, or data, financial losses or
indirect, special, consequential, exemplary, or punitive damages. To the extent permitted by
law, the total liability of Google, and its suppliers and distributors, for any claim under these
terms, including for any warranties that may not legally be excluded, is limited to the amount
you paid us to use the APIs (or, if we choose, to supplying you the APIs again) during the six
months prior to the event giving rise to the liability. Nothing in these terms limits your
responsibility for infringement of intellectual property rights. In all cases, Google, and its
suppliers and distributors, will not be liable for any loss or damage that is not reasonably
foreseeable.
Indemnification: You agree to hold harmless and indemnify Google, and its
subsidiaries, affiliates, officers, agents, and employees, or partners, from and against
any third party claim arising from or in any way related to:
1.
your misuse or your end user's misuse of the APIs; or
2.
your violation or your end user's violation of these terms,
including any liability or expense arising from all claims, losses, damages (actual and
consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.
In such a case, Google will provide you with written notice of such claim, suit or action.
General Legal Terms: These terms control the relationship between Google and you. If you
do not comply with these terms, and Google does not take action right away, this does not
mean that Google is giving up any rights that it may have (such as taking action in the
future). If it turns out that a particular term is not enforceable, this will not affect any other
terms. The laws of California, U.S.A., excluding California's choice of law rules, will apply to
any disputes arising out of or related to these terms or the services. All claims arising out
of or relating to these terms or the services will be litigated exclusively in the federal
or state courts of Santa Clara County, California, USA, and you and Google consent
to personal jurisdiction in those courts.

(1) Use the Lotus C++ API Toolkit for Domino and Notes to develop an Application that,
directly or indirectly, enables Users to access or share any Lotus Communications Product
interactively, unless each such User is an authorized licensee of a Notes Client Product;
(2) Transfer, sell, license, loan, lease or otherwise distribute the Lotus C++ API Toolkit for
Domino and Notes, or any component thereof, to any third party, except as described
below; or
(3) Alter, merge, modify (except as permitted below), adapt, reverse engineer, disassemble,
or decompile the Lotus C++ API Toolkit for Domino and Notes, or any portions thereof.
The purpose of these provisions is to restrict Applications that are intended to: (a) mimic or
substitute for the services provided by a Notes Client Product, or (b) assist any other
computer program that is intended to mimic or substitute for the
services of a Notes Client Product. Should you have any questions concerning these
restrictions, please contact Lotus at the phone number or address referenced in
the "Exceptions" section below.
