NOTICETOUSER: USEOF YOURINREACHPRODUCTCONSTITUTESYOURAGREEMENTTO
THESETERMSANDCONDITIONS.THISAGREEMENTISFULLYENFORCEABLELIKEANY
AGREEMENTBEARINGAPENANDINKSIGNATURE.IFYOUDONOTAGREE,DO NOTUSE
THE INREACHPRODUCTANDRETURNITTOTHEPOINTOFPURCHASE.
1. Youunderstandandagreethat:
1.1 Agreement. Thisdocument(“Agreement”)betweenyouandInReachLLCsetsforththe
termsoftheserviceplan(s)towhichyousubscribed.ThetermoftheAgreementstarts
when youfirstactivateyourINREACHService.
1.2 Changes.ThetermsofthisAgreementandoftheServicePlansaresubjecttochangeat
the discretionofInReachLLC(“INREACH”).INREACHwillpostnoticeofanysuchchangesat
explore.delorme.com.IfINREACHmakeschangesthatarenotacceptabletoyou,youmay
terminatetheAgreementwithoutchargebygivingwrittennoticeofcancellationwithinthirty
(30)daysafterthedatetheunacceptablechangewasposted.Ifyoudonotgivewrittennotice
withinthirty(30)days,youacceptthechange,effectiveonthedateofitsposting.
1.3 Coverage.YoumayuseyourINREACHProductanywherethereiscoverage(subjectto
any applicablerestrictionsduetolocallaws,licensingrequirementsandregulations).
1.4 Limitations. Servicesmaybecomelimitedortemporarilyunavailable without notice
fromtimetotime.INREACHdoesnotownorcontroltheserviceprovidersthatoperatethe
linksbetweenthesatellitegroundstations,includingsatelliteantennasandsupporting
equipment, andthesatellites,nordoesINREACHownorcontroltheIridiumSatellite
Constellation,and cannotberesponsibleforanyService interruptionsthatareassociated
withthoseSatelliteSystemsorground stationsandtheinterconnectingnetworks. Neither
doesINREACHownorcontrolthecellphoneandemailserviceproviderswhoreceivethe
emailandSMSmessagesgeneratedfromINREACHProducts,andisnotresponsibleforany
delaysbytheemailandcellphoneprovidersrelatedtothesemessages. Satelliteserviceis
wirelessandrequiresaclearlineofsighttowardthesatellite;therefore,theServicesare
inherentlysubjecttotransmissionand receptionlimitationscausedby:(i)yourlocation,
includingconditionsthatobstructthelineof sightbetweenyouandtheSatelliteSystems;
(ii) theconditionof theSatelliteSystemsand groundstations;(iii)theconditionofyour
INREACHProduct;and(iv)weatherconditions,atmosphericconditions,magnetic
interference,environmental,andotherconditionsbeyondINREACH’sortheSatellite
Systems’control.
2. SERVICE.Youmustsubscribeto oneoftheServicePlanstoutilizeyourINREACH
Version5.3,UpdatedSeptember21,2015
Product, includingtheSOSfeature.Collectively,alloftheServicespresentedinthis
Section2are referredtothroughoutthisAgreementas“Services”.INREACHServicePlans.
Theavailableserviceplansaresetforthatexplore.delorme.com andinreachdelorme.com.
Anactivationfeewillapplyuponinitialactivationofadeviceonany AnnualServiceplan
oranAnnualfeewillapplyuponactivationofadeviceonanyFreedom Serviceplan.
2.1.1 SOSEmergency.YourserviceplanincludesSOSEmergency service. PleaseseeAppendix
Aforfurtherinformation.
2.2 TextMessaging. TextMessagesareupto160charactercustomorpredefinedquicktext
messagesthatcanbetransmittedtoapersonorpersonsdesignatedbyyou.Designated
personsmayincludeyourpersonalcontacts,theSOSMonitoringProviderGEOS,and/orsocial
networkingsitessuchasTwitterorFacebook.Youaresolelyresponsibleforanydataorcontent
thatyousendviaTextMessaging,includinganyconsequencesofsuchmessaging.Text
MessagingissubjecttoprovisionsofSection8.4ContentLicensefromYou.Bundledmessages
mustbeusedbyendofeachmonthofserviceanddonotrollovertothenextmonth.
2.3 UnlimitedTrackingServices. Shouldyouchoosetopurchaseaplanwithtrackingservice,
youmayusetheServiceincompliancewiththeINREACHUserManualanditsnormalmessage
transmissionscheduleasoftenasyouwishprovidedthatsuchuseisforyourpersonal,
recreational,non-commercialuse.Unauthorizedcommercialusewillresultinadditional
charges.Trackingservicesarenotintendedforandmaynotbeusedfortrackingofenterprise
assetsand/orpersonnel. Consultthedetailsof yourserviceplantodeterminetherestrictions
regardingtrackingserviceavailabletoyourplan.
2.4 ActivatewithinReachLLCOnly. YoumustactivateyourinReachdirectlywithinReach
LLCusingtheactivationportalathttps://explore.delorme.comandchoosingoneofthe
airtimeplans.
ActivationofinReachdevicesonnon-InReachLLCIridiumaccountscouldseverelyimpactthe
functioningofyourinReachaswellasvoidanywarranties. GEOSSOSserviceswillnotbe
enabledontheinReachandusingtheSOSfunctionofthedevicemaynotinitiateaproper
response. InjuryordeathcouldresultfromanimproperlyactivatedinReachdevice.
ActivationofinReachdevicesonnon-inReachLLCIridiumaccountsviolatesthetermsofyour
agreementwithinReachLLC. InReachLLChasnotgrantedanythirdpartiestherightto
activateinReachdevices.

3. PLAN.ThevariousServicePlansareoutlinedatexplore.delorme.comand
inreachdelorme.com.
3.1 Term.TheTermsoftheplansaretwelve(12)months(AnnualContractServiceplans)or
one(1)month(FreedomServiceplans)startingonthedateofserviceactivationandtheplan
chosen.

3.2 Renewal.AllServicePlansautomaticallyrenewattheendoftheirTermforanadditional
monthtomonthTermunlessyoucancelserviceasprovidedinSection3.4.
3.3 Non-Refundable.Pre-paidServicePlanfeesarenon-refundable.Pre-paidServicePlansmay
notbetransferredtoathird-partyaccount;however,uponyourrequest,theymaybe
transferredtoanotherINREACHProductwithinyourownaccount. InReachbillsonemonthin
advancesothatallservicesarepre-paidpriortousage.
3.4 Cancellation.TocancelServicelogintoyouraccountatexplore.delorme.comandchooseto
CancelServiceonyourinReachdevice.
Ifyouareunabletologintoyouraccountatexplore.delorme.comyoumaycancelserviceby
submittingarequestatcontact.delorme.com. Yourrequestmustincludetheemailaddressthe
serviceisactivatedunder,thebillingaddressofthecreditcardusedontheaccountandthe
IMEInumberofthedevice. Failuretosubmittheproperinformationcandelaythe
implementationofyourcancellationrequest. Effectivecancellationdateofrequestssubmitted
tocontact.delorme.comcanbeuptotwobusinessdaysaftersubmission.
IntheeventofyourCancellationofanAnnualServiceplan,attheoptionofInReach,your
accountwilleither(1)bebilledatthetimeofcancellationfortheremainingamountsdueon
yourserviceplan,or(2)bebilledforaone-timedowngradefee,andanamountequaltothe
feesfortheremainingtermoftheserviceplanatthelowestthenavailablerate.
3.5 ChangestoServices.YouagreethatINREACHoritsserviceproviders (includingDeLorme,
Iridium,andGEOS)maymakechangestotheServicesinordertocomplywithapplicablelaws,
tomaintainorimprovetheServicesorforotherbusinessreasonswithoutnoticetoyouand
withoutliabilityforanychangesinyourabilitytousetheServicesortheINREACHProducts,
includingcompatibilityissueswiththeINREACHProducts,asaresultofsuchchanges.
3.6 TerminationbyINREACH. YouagreethatINREACH mayterminatethisAgreementandthe
provisionofServicestoyouatanytimewithoutnoticeorliabilitytoyouifyouareinbreachof
thisAgreement.
3.7 AdditionalCharges.Yourcellphoneserviceproviderand/orinternetprovidermaycharge
youoryourrecipientsadditionalfeesinrelationtoanySMS/MMSmessages,social
connectivitymessagesand/orotheremailsand/ordata(collectively“DataPlanFees”)sentby
you.Pleasefamiliarizeyourselfwithanysuchapplicableplans,Servicesand associatedfees
before usingyourINREACHProduct.Youareresponsibleforanysuchapplicablechargesand
fees.
4. PAYMENT.
4.1 TimelyPayments. You agreetopay,ontime,anyapplicableactivation,foryourService
Plan,usage,cancellation,anddisconnectionfees,plusanyapplicabletaxes,asprovidedinyour
ServicePlan.SinceyourServicePlanwillrenewautomaticallyattheendofeachterm,
INREACH willbillyourcreditcardatthetimeofrenewal,orwithinthirty(30)dayspriortothe
renewal,of eachsubsequentserviceterminaccordancewiththetermsofyourServicePlan.
ThisbillisdueandpayableinthecurrencyspecifiedinyourServicePlan.Ifyourplanspecifies

monthly billing,thenthemonthlyrecurringchargesarebilledmonthlyinadvance.
4.2 LatePayments. Youagreetopayalatechargeofthelesserof(i)1.5%permonthor(ii)the
maximumlegalrateifyourbillisnotpaidwithinten(10)daysaftertheduedate. Thislate
chargeisapplicabletotheunpaidbalanceasoftheduedateandwillbebilledonsubsequent
invoicesandstatements.INREACHmaysuspendtheServicesintheeventoflatepayment.Ifit
doesso,INREACHmaychargeareactivationfee(currently$50.00US)foreachsuspended
ServicePlan.
4.3 EventofCreditCardfailure.YouwillbenotifiedbyINREACHthefirsttimeyourcreditcard
failsbyanemailmessagetoyourlastemailaddressknowntoINREACH.Yoursecondnotice
withbesent7dayslaterfollowedbyafinalnotice14daysafteryourfirstnoticeifthecredit
cardcontinuestofail.IfINREACHdoesnothearfromyouthatyouhaverectifiedtheproblem
creditcardanydevicesassociatedwiththecreditcardwillbedeactivatedwithin30daysfrom
thefirstnotice.
CancellationofaServicePlansduetoaCreditCardfailurewillnotrelieveyouofanyotherwise
applicablefeesthatmaybedueandwillresultinlatepaymentfeesandareactivationfee.
4.4 Promotions.If you usea promotion code for your purchase,you certify thatyou
qualifyfortheapplicablepromotion. Youagreetothetermsofthepromotion,includingany
timelimitations,andyouagreetoprovideyourcreditcardinformationforanyadditional
servicesandtoextendtheServicesbeyondthepromotionalperiod.
4.5 DataTransmission/NoCredits.INREACHwillexerciseacommerciallyreasonablelevelof
carebutmakesnorepresentationastothesuccessofanydata transmission.Regardlessof
whetheradatatransmissionissuccessful,norefundswillbegiven. Inadditiontolimitations
resultingfromincorrectuse(e.g.,nexttoorunderanobstruction),satellitecommunications
systemshaveinherentcharacteristicsthatcancreatedropped datatransmissions. Dropped
datatransmissions,regardlessoftype,willnotbecredited regardlessofcause.Norshall
INREACHbeliableforanydamagesthatmayresultfromsuchdroppeddatatransmission.
4.6 Taxes.YourServicePlanpricefortheServicesmaynotincludeallsales,usage,excise,ad
valorem,goodsandservices,harmonizedsales,propertyoranyothertaxesnoworhereafter
imposed,directlyorindirectly,byanygovernmentalauthorityoragencywithrespecttothe
Service.YouarerequiredtopaytaxesrequiredbylawnotalreadycollectedforyoubyinReach
LLC.
4.7 Credit Approval/CreditCardTrialAuthorization. InitiationorcontinuationoftheServices
issubjecttocreditapprovalbyINREACHandrequiresdirectpaymentbycreditcardoran
authorizedguaranteeofpaymentbyavalidacceptedcreditcard.Creditcardsfromoutsideof
theUnitedStatesand/orCanadawillbeacceptedonlyafterverificationwiththeissuingbank. IfyouareacustomerwhosebillingaddressislocatedoutsideoftheUnitedStatesorCanadaor
acustomerwithoutestablishedcredit,INREACHmaynotallowyoutoparticipateinaService
Planwithmonthlypre-payment.Instead,INREACHmayrequirethatyouprepaythefirstfull
year. Verificationofcreditcardsissuedbybanksoutsideof theUnitedStatesorCanadamay

delayorderprocessing. INREACHmaydeclineanycreditcardtransaction.INREACHmayseek
authorizationofyourcreditcardaccountpriortoyourfirstactivation/purchasetovalidatethat
youcanchargetheapplicablefeestoaccesstheServices.ByauthorizingINREACHtochargea
creditcardtrialauthorizationforthefeesassociatedwithyoursubscription,youareauthorizing
INREACHtoautomaticallycontinuechargingthatcard(oranyreplacementcardiftheoriginal
cardisrenewed,lost,stolen,orchangedforanyreasonbythecardissuer,andtheissuer
informsINREACHofthenewreplacementcardaccount)forallfeesorchargesassociatedwith
yoursubscriptionincludinganyrenewalfeesasdescribedbelow.Youauthorizethecardissuer
topay any amountsdescribedhereinandauthorizeINREACH,oranyothercompanythatacts
asabillingagentforINREACH,tocontinuetoattempttochargeallsumsdescribedhereinto
yourcreditcardaccountuntilsuchamountsarepaidinfull.Thisauthorizationamountis
typically $1.00.Itisnotachargebutmayappeartoreduceyour availablebalancebythe
authorizationamountuntilyourcard’snextbillingcycle.Pleasecontact yourcardissuerifyou
haveadditionalquestionsregardingwhenthisamountwillberemoved fromyourstatement.
4.8 CreditCardAuthorization.BYAUTHORIZINGINREACHTODEBITYOURCREDITCARD,YOU
REPRESENTTHATYOUARETHEAUTHORIZEDOWNERORUSEROFYOURCREDITCARDAND
THATYOUAREARESPONSIBLEPARTYFORTHATCARD.YOUGRANTINREACHACCESSTOAND
THERIGHTTOREVIEW THE INFORMATIONIN, AND YOURREFERENCESSUBMITTEDWITH,
THESERVICEPLAN,OBTAINYOURCREDITREPORTSANDCREDITHISTORY,AND/ORALL
OTHERRELEVANTINFORMATIONANDMATERIALSTHATINREACHREASONABLYBELIEVESIS
DESIRABLE FOR THEPURPOSEOFIDENTIFYINGYOURFINANCIALSTATUSAND
CREDITWORTHINESS. FURTHER,YOUAUTHORIZEINREACHTODEBITYOURCREDITCARDIN
ORDERTORENEWYOURSERVICEPRIORTOTHESTARTOFEVERYSERVICETERM,UPUNTIL
SUCHTIMETHATYOUCANCELTHESERVICEINACCORDANCEWITHSECTION3.3.
4.9 CostofCollection. YouagreetopayINREACHallofINREACH’scollectioncosts,including
withoutlimitationthestandardfeesofanycollectionagency,reasonableattorneyandlegal
fees,andanyothercostsincurredbyINREACHinexercisinganyofitsrightsunderthis
Agreement.
5. DISCLAIMEROFWARRANTIES.
5.1 Disclaimer ofWarranty for the Services and Software.YOUEXPRESSLYACKNOWLEDGE
ANDAGREETHATUSEOFTHESERVICEANDANYASSOCIATEDSOFTWAREISATYOUR SOLE
RISK.TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW, THESERVICEANDANY
ASSOCIATEDSOFTWAREAREPROVIDED‘ASIS’AND“ASAVAILABLE”ANDALL OTHER
WARRANTIES, REPRESENTATIONS, ANDCONDITIONS (EXPRESSORIMPLIED)INCLUDING,BUT
NOTLIMITEDTO,ANYIMPLIEDWARRANTIESORCONDITIONSREGARDINGMERCHANTABILITY
ORFITNESS FORA PARTICULARPURPOSE,THATTHE SERVICEAND/ORANYASSOCIATED

ORMAINTENANCEOFTHESATELLITESYSTEMSUSED BY THE INREACH PRODUCTTO
TRANSMIT DATA TRANSMISSIONS, INCLUDING SOSEMERGENCYSIGNALS.
INREACHMAKESNOWARRANTIESRESPECTINGANYHARMTHATMAYBECAUSEDBY
TRANSMISSIONOFACOMPUTERVIRUS,HACKINGBYATHIRDPARTY,WORM,TIMEBOMB,
LOGICBOMB,OROTHERSUCHCOMPUTERPROGRAM. NOORALORWRITTENINFORMATION
OR ADVICE GIVEN BY ANY DISTRIBUTOR, RESELLER OR ITS AUTHORIZEDREPRESENTATIVE
SHALL CREATE A WARRANTY. YOUARESOLELY RESPONSIBLEFOR ANYDAMAGETOYOUR
PRODUCT,OTHERDEVICE,ORLOSSOFDATATHATRESULTSFROMSUCHUSE. THE

6.1 TOTHEFULLESTEXTENTPERMITTEDBYLAW,INREACHANDITSSERVICEPROVIDERS,AND
THEIRRESPECTIVEEMPLOYEES,DIRECTORS,OFFICERS,AGENTSANDSUPPLIERSHEREBY
EXPRESSLYEXCLUDELIABILITYFORANYDAMAGESORCLAIMS,INCLUDINGINJURYORDEATH,
ANDANYINDIRECT,SPECIAL,CONSEQUENTIAL,INCIDENTAL,RELIANCE,EXEMPLARYOR
PUNITIVELOSS,DAMAGE,COSTSOREXPENSES(INCLUDINGLOSSOFINCOME,MEDICALAND
OTHEREXPENSES,LOSSOFGUIDANCE,CAREANDCOMPANIONSHIP)WHICHMAYARISEOUT

7. YOUROBLIGATIONS.
7.1 PersonalUse.TheServiceprovidedunderthisplanisforpersonal,recreational,NON-
COMMERCIALuseonly.Youmaynotsell,rent,leaseorotherwisechargefortheINREACH
Productand/orServicesoranyinformationorservicesassociatedwithorderivedfrom
INREACHProductorServices.ThisdeviceanditsassociatedcommunicationandSOSservices
arenotauthorizedtobeusedinacommercialorbusinessenvironmentunderthetermofthis
licenseorserviceplans.
7.2 Misuse.YouagreethatyouwillnotusetheServicesortheINREACHProduct(1)toabuseor
misusetheSOSEmergencyservices,(2)toutilizeyourINREACHProductforthecommercial
trackingofassetsand/orpersonnel(3)tosendmessagesthatareoffensive,defamatory,
abusiveorobsceneorintendedtoharass(4)foranypurposeinviolationoflaw,(5)inany
mannerthatinfringes or misappropriates third party rights, or (6) in any mannerwhich
overloads orunreasonablyinterfereswiththeServicesortheSatelliteSystems. Youagreeto
usetheServicesonlywiththeINREACHProduct andnotto use any other equipmentin
connection withthe Services unless expressly approved byINREACH. Failuretoadhereto
theserestrictionsmayresultinterminationofthisAgreementbyINREACH.Youagreethatyou
willnotattempttounlockormodify,orreverseengineeryourINREACHProductinorderto
modifyitor render itcapable of performing functions outside the approved Iridium
networkdescribed in thisAgreement,forthepurposeofre-sellingtheINREACHProducttoa
thirdparty,orforanypurposeotherwisenotpermittedbythisagreement.
7.3 AuthorizedUsers.Youaresolelyresponsible,andassumeanyliability,foranyuser
authorizedbyyoutoutilizetheINREACHProductand/ortheServices.Inaddition,youagreeto
passusageinstructionsandServicePlantermsandconditionstoallofyourauthorizedusers.
SomeoptionalservicessuchastheGEOSSARbenefitareonlyavailabletotheprimary,
registereduser. Youmustcarefullyreadtheapplicabletermsforanysuchoptional/bundled
servicetoseeifrestrictionsapply.
8. INREACHUserAccount,Websites.
8.1 INREACHWebsites. YouruseoftheINREACHwebsitesisgovernedbythetermsand
conditionsofusecontainedoneachsuchwebsite

8.4 ContentLicensefromYou. Youagreethatyouaresolelyresponsiblefor(andthatINREACH
hasnoresponsibilitytoyouortoanythirdpartyfor)anyContentthatyoucreate,transmitor
displaywhileusingtheServicesandanyassociatedsoftwareandfortheconsequencesofyour
actionsbydoingso.YouacknowledgethattheINREACHmessagesmayincludeyourlocation
information. You retaincopyrightandanyotherrightsyoualreadyholdinContentwhichyou
submit,postordisplayonorthrough,theSoftwareand/ortheServices.Youacknowledgeand
agreethatbysubmitting,postingordisplayingthecontentyougiveINREACHaperpetual,
irrevocable,worldwide,royalty-free,andnon-exclusivelicensetoreproduce,adapt,modify,

8.5 Third-PartyLicensesandContent. If, aspartofyouruseoftheServicesandany
associatedsoftwareyou downloadapieceofsoftware,accesssoftwareonline,orpurchase
goods,whichareprovidedbyathirdpartythenyouruseoftheseotherservices,softwareor
goodsmaybesubjecttoseparatetermsbetweenyouandthethird-partyprovider.Thisthirdpartycontentmaybeprotectedbyintellectualpropertyrightswhichareownedbythethird
party.Anyreferenceorlinkstoanythird-partycontentdoesnotnecessarilyconstituteorimply

responsibleforallactivitiesthatoccurunderyouraccount. Ifyoubecomeawareofany
unauthorizeduseofyourpasswordorofyouraccount,youagreetoimmediatelynotify
INREACH. INREACHwillkeepyourpersonaldataprivateandconfidential,providedhoweverthat
INREACHwillprovidesuchinformationtoGEOS,theIERCCprovider,andthatGEOSmay provide
suchinformationasrequiredto emergencyrespondersin the eventthat you or your
authorizedusertriggersaSOS Emergency Signal,including your name, registration
information,location and messagehistory. INREACHmayalsoprovideinformationregarding
yourdatatransmissionstoyourimmediatefamilymembers and/or emergencyresponders
should itbe reasonablydeterminedthatanemergencymayexist. INREACHmayalsoshare
withthirdpartiescertainpiecesofnon-personal,aggregatedinformation,meaningthat
informationfrommanyusersisgroupedtogetherandisdisclosedinsuchawaythatitdoesnot

INREACHProduct,anyassociatedsoftwareandrelateddocumentationare"CommercialItems",
asthattermisdefinedat48C.F.R.§2.101,consistingof"CommercialComputerSoftware"and
"CommercialComputer Software Documentation",as specifiedunder48C.F.R.§12.212or48
C.F.R.§227.7202, asapplicable.Consistentwith48C.F.R.§12.212or48C.F.R.§227.7202-1
through227.7202-4,asapplicable,theCommercialComputerSoftwareandCommercial

restrictionsondestinations,endusers,andenduse.Youagreenottoexportorre-exportthe
INREACHProductandanyassociatedsoftwaretoanycountry inviolationof theexportcontrol
lawsoftheUnitedStatesofAmerica.TheINREACHProductandanyassociatedsoftwaremay
notbeexportedorre-exportedintoanyU.S.embargoedcountriesortoanyoneontheU.S.
TreasuryDepartment'slistofSpeciallyDesignatedNationalsortheU.S.Departmentof
CommerceDeniedPerson’sListorEntityList.ByusingtheINREACHProduct,theServicesand
anyassociatedsoftware,yourepresentandwarrantthatyouare not located inany such
countryoronanysuchlist.Youalsoagreethatyouwillnotusetheseproductsforanypurposes
prohibitedbyUnitedStateslaw,including,withoutlimitation,thedevelopment,design,
manufactureorproductionofnuclear,missiles,orchemicalorbiologicalweapons.
9.3 Indemnity.Tothemaximumextentpermittedby law,youagreetoindemnify,defendand
holdharmlessINREACHanditsaffiliates,licensorsandsupplierstheirrespectivedirectors,
officers,employeesandagentsfromandagainstanyandallclaims,actions,suitsor
proceedings,aswellasanyandalllosses,liabilities,damages,costsandexpenses(including
reasonableattorney’sfees)arisingoutoforinconnectionwithyouruseoftheINREACH
Product,theServicesandanyassociatedsoftware.
9.4 GoverningLaw. ThisAgreementisgovernedbythelawsoftheStateofMainewithout
givingeffecttoconflictsoflawsprinciples.
9.5 EntireAgreement.ThisAgreementconstitutesthe entire agreementbetweentheParties
withrespecttothesubjectmatterhereof. Anyheadingsareprovidedforconvenienceonly.
9.6 NoWaiver,Survival. ThefailureofINREACHtoexerciseorenforceanyrightunderthis
Agreementshallnotconstituteawaiverofsuchright. Allrightsandremediesgrantedto
INREACHarecumulativeandnotalternate.IfanyprovisionofthisAgreementisfoundinvalidor
unenforceable,suchinvalidityorunenforceabilityshallnotaffecttheremainingtermsand

conditionsofthisAgreement,andthepartiesshallsubstitutea validprovisionthatmostnearly
approximatestheintentandeconomiceffectoftheinvalidorunenforceableone. Any

temporarilyunavailablewithoutnoticefromtimetotimeduetoanynumberofreasons
associatedwithmanagingaSatelliteSystem.Further,thissatellite-basedservicerequiresa
clearlineofsightbetweentheINREACHProductandthesatellite;therefore,theserviceis
inherentlysubjecttotransmissionandreceptionlimitations.Furtherinformationregarding

neworrefurbishedunitatitssolediscretion.Suchrepairsorreplacementswillbemadeatno
chargeforlaborormaterials;however,thecustomerwillberesponsibleforanyshipping

beownedbyDeLorme,byInReachLLCorbyathirdparty.ThisEULAgrantsalicense(“License”)
thatpermitsyoutousethesoftwareasrequiredforyourINREACHProductandService,
whetherthroughtheDeLormePN-60wordirectlythroughtheINREACHProduct,orthroughan
applicationinstalledonyoursmartphone.ThisLicenseisnon-exclusive,non-sublicensableand

actions bydoingso.YouacknowledgethattheInReachmessagesmayincludeyourlocation

6.12 ChangestotheEULA. InReachLLCreservestherighttochangethetermsandconditions
ofthisEULAatanytime.YoucanfindthemostcurrentEULAatexplore.delorme.com.You
understandandagreethatifyouusetheservicesafterthedateonwhichthetermsor
additionaltermshavechanged,InReachLLCwilltreatyouruseasacceptanceoftheupdated
termsoradditionalterms.
6.13 GoverningLaw. ThisEULAwillbegovernedandconstruedinallrespectsbythelawsof
theStateofMainewithoutregardtoitsconflictoflawsandprovisions.YouandInReachLLC
agreetosubmittotheexclusivejurisdictionofthecourtslocatedwithinthecountyof
Cumberland,StateofMaine,toresolveanylegalmatterarisingfromthisEULA.
6.14 General.ThisEULAconstitutestheentireagreementbetweenthePartieswithrespectto
thesubjectmatterhereof.Anyheadingsareprovidedforconvenienceonly.Youmaynotassign
thisEULAoranyofyourrightsorobligationshereunder,butInReachLLCmayassignthisEULA
andanyofitsrightsandobligationshereunderandthisEULAshallinuretothebenefitofandis
bindingonInReachLLC’srespectivesuccessorsandpermittedassigns.ThefailureofInReach
LLCtoexerciseorenforceanyrightunderthisEULAshallnotconstituteawaiverofsuchright.
AllrightsandremediesgrantedtoInReachLLCarecumulativeandnotalternate.Ifany
provisionofthisEULAisfoundinvalidorunenforceable,suchinvalidityorunenforceabilityshall
notaffecttheremainingtermsandconditionsofthisEULA,andthepartiesshallsubstitutea
validprovisionthatmostnearlyapproximatestheintentandeconomiceffectoftheinvalidor
unenforceableone.
PrivacyPolicy
PrivacyNoticetoPersonsUsingDeLormeInReachService:TheinReachdeviceisdesignedtobe
usedasameansofcommunicatingtheneedforemergencyresponsebyinReachuserstothe
appropriateauthorities.InordertoenableInReachLLC(“InReach”)anditsserviceprovidersto
performthisfunction,itmaybenecessaryforInReachtostoremessagessenttousersofthe
inReachdevice.ThesemessagesundersomecircumstancesmaybedisclosedbyInReachtothird
partyserviceprovidersand/orcompetentlegalauthorityinconnectioninconnectionwiththe
provisionofSOSandinordertoassistintheeffectuationofarescue.Inordertoprovidethe

Service,InReachmayberequiredtotransmitordistributeinformationregardingthese
transmissions,whichmayincludebutisnotlimitedto,theidentityandlocationofthesenderor
recipient,thecontentofthemessage,andthetimeatwhichthemessagewassent,overvarious
publicnetworksandinvariousmedia.InReachreservestherighttodisclosepersonaland
locationdataaswellasremotelyactivateSOSfeatureswhennotifiedbycompetentlegal
authoritythatadistresssituationexistsfortheuser.BysendingamessagetoaninReach
subscriberyouagreetotheforegoingpolicy,andreleaseandholdharmlessInReachLLC,its
serviceproviders,andgovernmentrescueagenciesfromanyclaimsassociatedwiththerelease
ofanyoftheinformationdescribedinthisparagraph,oranyotherinformationreleasedby
InReachinanefforttoassistinanemergencyresponseeffort.
Appendix
A.1.1 SOSEmergency.YourserviceplanincludesSOSEmergency service.INREACHhas
contractedwithathird-partyprovider,GEOS(“GEOS”),toprovideSOSemergencymonitoring
services.ProvisionofSOSEmergencyservicesissubjecttothetermsofthisagreement.
INREACHreservestherighttodisclosepersonalandlocationdatatoitsthird-partyservice
providers,and/ortocompetentlegalauthority,aswellasremotelyactivateSOSfeatureswhen
notifiedbycompetent legal authority that a distress situation exists fortheuser.INREACH
intendsthattheGEOSInternationalEmergencyResponseCoordinationCenter(the“IERCC”)will
beavailableatalltimesinalllocationswhereyour INREACHProductworks;however,itis
possiblethatatsometimesandsomelocations,theIERCCwillnotreceiveyourtransmissionor
thatyourtransmissionwillbedelayed.Theemergencyresponder(s)shalldeterminewhen,
how,evenif,toconductasearchand rescue inaccordancewiththeirstandardpoliciesand
procedures,subjecttosuchconstraintsasoperationallimitations,availableresources,technical
feasibility,meteorologicalconditions,medicaland/orsafetyconcernswhetherforyouorthe
emergencyresponder(s).InnoeventdoestheAgreementcreateadutytorescue.
A.1.1.1 SOSMonitoring. INREACHtransmitsSOSEmergencySignalsreceived,alongwith
applicableRegistrationDatainformationandavailablelocationcoordinates,totheIERCC.The
IERCCmaintainsadatabaseofemergencyrespondersinregionsthroughouttheworld(the
“IERCC Database”),andprovidesSOS EmergencySignalmonitoringtwenty-four(24)hoursa
day,seven(7)daysaweekand 365days ayear. Uponreceiptof aSOSEmergencySignal,
IERCCpersonnelwill:i)contact,ifavailable,theprimaryandsecondarycontactsidentifiedby
youinyourRegistrationDatatoattempttovalidatetheSOSEmergencySignal,ii)usethe
IERCC databaseto identify appropriate emergency responder(s) according to available
location coordinates; iii) contact the appropriate emergency responder(s) and inform
themofthe relevantfactsinGEOS’possession(includingyourRegistrationDatainformation
and/or location coordinates);iv)ifyouaretravelingoutsideofyourhometerritory,andit is
consistentwith GEOS’procedures,contacttheEmbassyofyourgovernmentconsistentwith
yourRegistrationData,eitherinthelocationidentifiedbytheLocationInformationortheir
Washington,D.C.basedEmbassy,andprovidethemallrelevantfactsinGEOS’possession;
and,v)provideupdatesoflocationcoordinatesasavailabletotheidentifiedemergency
responder. Uponcontactingtheemergencyresponder(s)and/or,asappropriate,the

Embassy,and informingthemofallrelevantfacts,INREACHandGEOSarereleasedfromall
furtherlegal responsibilityand/orobligationtotakeanyfurtheractionwhatsoever.Should
GEOShave reasonablecausetobelievethatanemergencyconditiondoesnotexist,GEOS
reservesthe righttosolelycontacttheprimaryandsecondarycontactsidentifiedbyyou.
A.1.1.2 FalseSOSEmergencyTransmissions.Youaresolelyresponsibleforanychargesthat
maybeassessedbyemergencyrespondersforeitherfalseSOSEmergencySignalsand/orin
relationtosearchandrescueactivitiesresultingfromyouoryourauthorizedusers’
transmissionofaSOSEmergencySignal.Shouldyoudeliberatelyornegligentlymisusethe
SOSEmergencyservice,theSOSserviceprovider,GEOS,reservestherighttoassessafeein
ordertorecouptheircostsinrelationtorespondingtosuchmisuse.Negligentanddeliberate
misuseincludes,butisnotlimitedto,pressingtheSOSbuttonto‘seeifitworks’orotherwise
knowinglypressingtheSOSbuttonwhennoemergencysituationexists.Shoulditbe
determinedbyINREACHthatyouhavedeliberatelyornegligentlymisusedtheSOSEmergency
service,INREACHshallprovideyourcreditcardinformationonrecordtoGEOS.GEOSshall
then,withoutfurthernotice,billyourcreditcardtheappropriatefee,calculatedatarateof
$340perhour,orstatedpartthereof,foraminimumchargeofone(1)hourandmaximum
chargeoftwo(2)hours,foreachsuchfalseSOSEmergencySignalevent,andyoushallbe
responsibletopayanysuchfee.IfyoupurchasetheoptionalSearchandRescueservices,such
SearchandRescueservicesshallbesubjecttothetermsofyourseparateagreementwith
GEOS,locatedathttp://www.geosalliance.com/geos-services/worldwide-search-and-rescue/
A.2.4 GEOS SearchandRescueMembership. Should youchoosetopurchasetheoptional
SearchandRescuemembershipprovidedbyGEOS(“GEOSSARMembership”),suchcontractwill
bedirectlybetweenyouandGEOS.INREACHis notapartyandinnowayliabletoyoufor any
damagesor claimsthatmayariseinconnectionwithsuchoptionalSearchandRescue service.
Thetermsandconditionsarelocatedat:http://www.geosalliance.com/geosservices/worldwide-search-and-rescue/ Theoptional GEOSSARisbilledonanannualbasis,
andisdedicatedtotheprimaryregistereduser.The scopeofGEOSSARMembershipincludes
payment,byGEOS,ofupto$100,000inanyone year,limitedto$50,000foranyoneincident,
fortheprovisionofnecessaryadditionalSearch andRescueresources(includinghelicopterand
private searchteamsetc.)uptothesingle incidentlimitforaperiodnotexceeding72hours
fromthetimeofcallforassistance,where thesearerequestedbytheappropriaterescue
authorities,andwhicharenecessarytoprevent injuryorillnessordangertohumanlifeasa
resultofanunforeseeableemergencyortopay foranycostsandexpenses claimed against
you by theappropriaterescueauthorities. Provisionofadditionalresourcesunder this
service must befirstauthorizedbyGEOS.GEOS hascontractedwithamajorinsurance
underwritertounderwritethispolicy.Thisbenefitdoes notapplyiftheclaimisinrelationto
anyofthefollowing:a)circumstanceswhichcouldhave reasonablybeenanticipatedatthe
datethetrip began,e.g.forecastofadverseweather conditions;b)anemergencycausedby
inadequateprovisionortrainingorcompetence neededtocompletetheplannedtrip;c)cost
incurreddue toapre-existingorchronic conditionormentaldisorderofthememberincluding
self-harmorsuicideattempt;d) emergencycausedbyanynaturalclimatedisaster;e)anycost
incurredtoemergencyarising fromriots,civilunrestorconflictincludingcivilwarsor kidnaps
or anyBiological,Nuclearor Chemicalevents;f)anycostsarisingfromthecrashofanyprivate
aircraft oranyaircraftthat hasnotbeenauthorizedasanairlinebytherelevantAviation

Authority;g)costincurredby anymemberparticipatinginanywarormilitaryaction;h)costs
arisingfrom anyillegaluseofa weapon;i)accidentsarisingfromskydivingwithoutaqualified
guideorskysurfingwithor withoutamotorvehicle;j)whereanyaccident,injuryorillness
arisesfromtheuseofdrugsor alcohol;k)costscoveredbyanyotherinsurancepolicyofyour
own;orl)forany incident causedbyathirdpartywherecostscanberecoveredfromthatthird
party.InthecaseofdeathoftheMember,GEOSwillnotberesponsibleforthetransportationof
thebody.GEOS willendeavortoarrangea successful rescue butcannot accept liability for
failedrescuesdue tounforeseencircumstancesbeyondtheircontrol.AdditionalGEOSSAR
Membershipsmaybe purchaseddirectlyfrom GEOSif morethanonefamilymembermayuse

Commercial usersthatareofferingtheINREACHProductforrentand/orleasemaycontact

oftheSearchandRescuemembershipstoyourcustomers.Thismembershipbenefitrelatesto
thesearchandrescuerelatedand/orextractionrelatedcostsanddoesnotcovermedical
expenses.Youmustfollowingallclaimsproceduresandprovidetheinsuranceunderwriterswith
anyreasonablyrequesteddocumentation.Theinsuranceunderwritersmayrequireyouto first
submitanyhelicopterextractionandambulanceclaimstoyourmedicalinsuranceand second
toGEOSalongwithyourExplanationofBenefitsfromyourmedicalinsurer.Coverage extends
toNorthAmerica,Canada,theEuropeanUnionandAustralia,andwillonlybeprovided to
othergeographiclocationssubjecttoacceptancebytheGEOSunderwritersinwriting,which
willbeprovidedaftertheapplicationhasbeenmade.Ifanadditionalgeographiclocationis
refusedbytheGEOSunderwriters,thanallpremiumspaidwillberefunded.Thefollowing
geographiclocationsareexpresslyexcluded:North,CentralorWestAfrica,theMiddleEast,
includingIraqIranandAfghanistan,andRussia.Thecoverwillnotextendiftherescueserviceis
providedbyofficialGovernment,Police,FireorRedCrossorganizations. Pricingvaries by
region;pleaseseethepricingspecifiedforyourregionatthetimeofserviceactivation.The
GEOSSARMembershipsearchandrescuebenefitisforanyadditionalcostsincurredorthose
costsnotcoveredbyexistingmedicalortravelcover.Claimsshouldbemadedirectthroughthe
GEOSMemberswebsitewhichcanbeaccessedusingtheusernameandpasswordprovidedto
youforaccesstotheGEOSMemberssite.AllclaimsaredealtwithbytheGEOSUnderwritersat
LloydsofLondon.TosupportclaimsthemembermustprovideasignedReleaseforthe
disclosuretoGEOSbythemedicalaidproviderofallmedicalservices,andtreatment,provided
inrelationtotheincidentandfulldetailsofanyotherInsurancecoverheld.Themembermust
firstclaimagainsttheirexistingMedical,TravelorotherInsurance.Allclaimsforreimbursement
undertheMembersSARBenefitaredealtwithbythe GEOSUnderwritersandtheirdecisionis
final.NOTE: TheGEOSInternationalEmergencyResponseCoordinationCenter (IERCC)willnot
refusetocalloutadditionalemergencyresponseserviceswhenadvisedbyfirst responders
suchadditionalserviceswillbenecessary.InsuchcaseswhereaMemberactivates theirSOS
signalforanemergencyanditlatertranspiresthatthe additional rescueservice was not
requiredorcoveredbythetermsandconditionsoftheSearchandRescueBenefitcover,the
memberwillbeliableforthewholecost.
