This proposal is intended solely as a basis for discussion between the parties and is not intended to be
and does not constitute a legally binding obligation. A legally binding obligation will only be made
pursuant to a definitive agreement to be negotiated and executed by PGi and G-Cloud 6. Performance
and delivery of any services by PGi to G-Cloud 6 will require execution of a PGi Corporate Services
Agreement by both parties.
All information and knowledge heretofore or hereafter acquired by G-Cloud 6 about PGi hereunder
concerning processes, methods, scientific or technical information, procedures of the Corporation in and
about the business of formulating, developing, producing, and otherwise dealing in its products and
services and information concerning proposed new products and services shall be confidential and shall
be disclosed only to the officers of PGi.
