THESETERMSANDCONDITIONS.THISAGREEMENTISFULLYENFORCEABLELIKEANYAGREEMENT
BEARINGAPENANDINKSIGNATURE.IFYOUDONOTAGREE,DONOTUSETHEINREACHCANADA
PRODUCTANDRETURNITTOTHEPOINTOFPURCHASE.
1. Youunderstandandagreethat:
1.1. Agreement.Thisdocument(“Agreement”)betweenyouandRoadpostInc.dbaInReachCanada
(“INREACHCANADA”)setsforththetermsoftheserviceplan(s)towhichyousubscribed.The
termoftheAgreementstartswhenyoufirstactivateyourINREACHCANADAService.The
“INREACHCANADAProduct”isdefinedtoincludetheDeLormeinReachTwo-WaySatellite
Communicator,anyreplacementproductsand/oranyassociatedsoftware.
1.2. Changes.ThetermsofthisAgreementandoftheServicePlansaresubjecttochangeinthe
discretionofINREACHCANADA.INREACHCANADAwillpostnoticeofanysuchchangesat
inreachcanada.com.IfINREACHCANADAmakeschangesthatarenotacceptabletoyou,you
mayterminatetheAgreementwithoutchargeatanytimeafteryourfirst30daysofservice.
Chargesaccruedforservicesuptothedateofterminationwillremaindueandpayable.
1.3. Coverage.YoumayuseyourINREACHCANADAProductanywherethereiscoverage(subjectto
anyapplicablerestrictionsduetolocallaws,licensingrequirementsandregulations).
1.4. Limitations.Servicesmaybecomelimitedortemporarilyunavailablewithoutnoticefromtime
totime.INREACHCANADAdoesnotownorcontroltheserviceprovidersthatoperatethelinks
betweenthesatellitegroundstations,includingsatelliteantennasandsupportingequipment,
andthesatellites,nordoesINREACHCANADAownorcontroltheGPSSatelliteConstellation,
andcannotberesponsibleforanyServiceinterruptionsthatareassociatedwiththoseSatellite
Systemsorgroundstationsandtheinterconnectingnetworks.NordoesINREACHCANADAown
orcontrolthecellphoneandemailserviceproviderswhoreceivetheemailandSMSmessages
generatedfromINREACHCANADAProducts,andarenotresponsibleforanydelaysbytheemail
andcellphoneprovidersrelatedtothesemessages.Satelliteserviceiswirelessand
requiresaclearlineofsighttowardthesatellite;therefore,theServicesareinherentlysubject
totransmissionandreceptionlimitationscausedby:(i)yourlocation,includingconditionsthat
obstructthelineofsightbetweenyouandtheSatelliteSystems;(ii)theconditionofthe
SatelliteSystemsandgroundstations;(iii)theconditionofyourINREACHCANADAProduct;and
(iv) weatherconditions,atmosphericconditions,magneticinterference,environmental,and
otherconditionsbeyondINREACHCANADA’sortheSatelliteSystems’control.
2. SERVICE.YoumustatminimumsubscribetotheINREACHCANADASafetyPlantoutilizeyour
INREACHCANADAProduct,includingtheSOSfeature.Youmayalsoselectadditionalbundled and/oroptionalservices.Collectively,alloftheServicespresentedinthisSection2arereferredto
throughoutthisAgreementas“Services”. Pleasenotethatwhileyourserviceisinsuspensionmode,
itwillnottransmitandthereforecannotbeusedforSOSpurposes.

2.1 INREACHCANADAStandardServicePlans.Theavailableserviceplansaresetforthat
http://www.inreachcanada.com/service-plans/. Theseplansaredesignedforconsumeruse
andthetermsinthisagreementapplyspecificallytocustomersusingtheseserviceplans.A
separatesetoftermsandconditionsareavailableforEnterpriseuseoftheinReachCanada
EnterpriseSolution.
2.1.1 SOSEmergency.YourINREACHCANADAStandardserviceplanincludesSOS
Emergencyservice.INREACHCANADA’ssupplierhascontractedwithathird-party
provider,GEOS(“GEOS”),toprovideSOSemergencymonitoringservices.Provisionof
SOSEmergencyservicesissubjecttothetermsofthisagreement.INREACHCANADA
reservestherighttodisclosepersonalandlocationdatatoitsthird-partyservice
providers,and/ortocompetentlegalauthority,aswellasremotelyactivateSOS
featureswhennotifiedbycompetentlegalauthoritythatadistresssituationexistsfor
theuser.INREACHCANADAintendsthattheGEOSInternationalEmergencyResponse
CoordinationCenter(the“IERCC”)willbeavailableatalltimesinalllocationswhere
yourINREACHCANADAProductworks;however,itispossiblethatatsometimesand
somelocations,theIERCCwillnotreceiveyourtransmissionorthatyourtransmission
willbedelayed.Theemergencyresponder(s)shalldeterminewhen,how,evenif,to
conductasearchandrescueinaccordancewiththeirstandardpoliciesand
procedures,subjecttosuchconstraintsasoperationallimitations,availableresources,
technicalfeasibility,meteorologicalconditions,medicaland/orsafetyconcerns
whetherforyouortheemergencyresponder(s).InnoeventdoestheAgreement
createadutytorescue.
2.1.2 SOSMonitoring.INREACHCANADAtransmitsSOSEmergencySignalsreceived,along
withapplicableRegistrationDatainformationandavailablelocationcoordinates,tothe
IERCC.TheIERCCmaintainsadatabaseofemergencyrespondersinregionsthroughout
theworld(the“IERCCDatabase”),andprovidesSOSEmergencySignal
monitoringtwenty-four(24)hoursaday,seven(7)daysaweekand365daysayear.
UponreceiptofaSOSEmergencySignal,IERCCpersonnelwill:i)contact,ifavailable,
theprimaryandsecondarycontactsidentifiedbyyouinyourRegistrationDatato
attempttovalidatetheSOSEmergencySignal,ii)usetheIERCCdatabasetoidentify
appropriateemergencyresponder(s)accordingtoavailablelocationcoordinates;iii)
contacttheappropriateemergencyresponder(s)andinformthemoftherelevantfacts
inGEOS’possession(includingyourRegistrationDatainformationand/orlocation
coordinates);iv)ifyouaretravelingoutsideofyourhometerritory,anditisconsistent
withGEOS’procedures,contacttheEmbassyofyourgovernmentconsistentwithyour
RegistrationData,eitherinthelocationidentifiedbytheLocationInformationortheir
Washington,DCbasedEmbassy,andprovidethemallrelevantfactsinGEOS’
possession;and,v)provideupdatesoflocationcoordinatesasavailabletothe
identifiedemergencyresponder.Uponcontactingtheemergencyresponder(s)and/or,
asappropriate,theEmbassy,andinformingthemofallrelevantfacts,INREACH

CANADAandGEOSarereleasedfromallfurtherlegalresponsibilityand/orobligation
totakeanyfurtheractionwhatsoever.ShouldGEOShavereasonablecausetobelieve
thatanemergencyconditiondoesnotexist,GEOSreservestherighttosolelycontact
theprimaryandsecondarycontactsidentifiedbyyou.
2.1.3 FalseSOSEmergencyTransmissions.Youaresolelyresponsibleforanychargesthat
maybeassessedbyemergencyrespondersforeitherfalseSOSEmergencySignals
and/orinrelationtosearchandrescueactivitiesresultingfromyouoryourauthorized
users’transmissionofaSOSEmergencySignal.Shouldyoudeliberatelyornegligently
misusetheSOSEmergencyservice,theSOSserviceprovider,GEOS,reservestheright
toassessafeeinordertorecouptheircostsinrelationtorespondingtosuchmisuse.
Negligentanddeliberatemisuseincludes,butisnotlimitedto,pressingtheSOS
buttonto‘seeifitworks’orotherwiseknowinglypressingtheSOSbuttonwhenno
emergencysituationexists.ShoulditbedeterminedbyINREACHCANADAthatyou
havedeliberatelyornegligentlymisusedtheSOSEmergencyservice,INREACH
CANADAshallprovideyourcreditcardinformationonrecordtoGEOS.GEOSshall
then,withoutfurthernotice,billyourcreditcardtheappropriatefee,calculatedata
rateof$340perhour,orstatedpartthereof,foraminimumchargeofone(1)hour
andmaximumchargeoftwo(2)hours,foreachsuchfalseSOSEmergencySignal
event,andyoushallberesponsibletopayanysuchfee.Ifyoupurchasetheoptional
SearchandRescueservices,suchSearchandRescueservicesshallbesubjecttothe
termsofyourseparateagreementwithGEOS,locatedat
http://www.geosalliance.com/geos-services/worldwide-search-and-rescue/
2.2 TextMessaging.TextMessagingisavailabletoINREACHCANADAusersthathaveanyinReach
device.TextMessagesareupto160charactercustomorpredefinedquicktextmessagesthat
canbetransmittedtoapersonorpersonsdesignatedbyyou.Designatedpersonsmayinclude
yourpersonalcontacts,theSOSMonitoringProviderGEOS,and/orsocialnetworkingsitessuch
asTwitterorFacebook.YouaresolelyresponsibleforanydataorcontentthatyousendviaText
Messaging,includinganyconsequencesofsuchmessaging.TextMessagingissubjectto
provisionsofSection8.4ContentLicensefromyou.Bundledmessagesexpireandreplenishwith
eachmonthlybillcycle.
2.3 UnlimitedTrackingServices.Shouldyouchoosetopurchaseaplanwithtrackingservice,you
mayusetheServiceincompliancewiththeUserManualanditsnormalmessagetransmission
scheduleasoftenasyouwishprovidedthatsuchuseisforyourpersonal,recreational,non-
commercialuse.UnauthorizedcommercialusewillresultinadditionalchargesTracking
servicesarenotintendedforandmaynotbeusedfortrackingofenterpriseassetsand/or
personnel.Consultthedetailsofyourserviceplantodeterminetherestrictionsregarding
trackingserviceavailabletoyourplan.
2.4 GEOSSearchandRescueMembership.ShouldyouchoosetopurchasetheoptionalSearchand
RescuemembershipprovidedbyGEOS(“GEOSSARMembership”);suchcontractwillbe
directlybetweenyouandGEOS.INREACHCANADAisnotapartyandinnowayliabletoyoufor

anydamagesorclaimsthatmayariseinconnectionwithsuchoptionalSearchandRescue
service.Thetermsandconditionsarelocatedat:http://www.geosalliance.com/geosservices/worldwide-search-and-rescue/The optionalGEOSSARisbilledonanannualbasis,
andisdedicatedtotheprimaryregistereduser. ThescopeofGEOSSARMembershipincludes
payment,byGEOS,ofupto$100,000inanyone year,limitedto$50,000foranyoneincident,
fortheprovisionofnecessaryadditionalSearch andRescueresources(includinghelicopterand
privatesearchteamsetc.)uptothesingle incidentlimitforaperiodnotexceeding72hours
fromthetimeofcallforassistance,where thesearerequestedbytheappropriaterescue
authorities,andwhicharenecessarytoprevent injuryorillnessordangertohumanlifeasa
resultofanunforeseeableemergencyortopayfor anycostsandexpensesclaimedagainst
youbytheappropriaterescueauthorities.Provisionof additionalresourcesunderthisservice
mustbefirstauthorizedbyGEOS.GEOShascontracted withamajorinsuranceunderwriterto
underwritethispolicy.Thisbenefitdoesnotapplyifthe claimisinrelationtoanyofthe
following:a)circumstanceswhichcouldhavereasonablybeen anticipatedatthedatethetrip
began,e.g.forecastofadverseweatherconditions;b)an emergencycausedbyinadequate
provisionortrainingorcompetenceneededtocompletethe plannedtrip;c)costincurreddue
toapre-existingorchronicconditionormentaldisorderof thememberincludingself-harmor
suicideattempt;d)emergencycausedbyanynatural climatedisaster;e)anycostincurredto
emergencyarisingfromriots,civilunrestorconflict includingcivilwarsorkidnapsorany
Biological,NuclearorChemicalevents;f)anycostsarising fromthecrashofanyprivateaircraft
oranyaircraftthathasnotbeenauthorizedasanairline bytherelevantAviationAuthority;g)
costincurredbyanymemberparticipatinginanywaror militaryaction;h)costsarisingfrom
anyillegaluseofaweapon;i)accidentsarisingfromsky divingwithoutaqualifiedguideorsky
surfingwithorwithoutamotorvehicle;j)whereany accident,injuryorillnessarisesfromthe
useofdrugsoralcohol;k)costscoveredbyanyother insurancepolicyofyourown;orl)for
anyincidentcausedbyathirdpartywherecostscanbe recoveredfromthatthirdparty.Inthe
caseofdeathoftheMember,GEOSwillnotbe responsibleforthetransportationofthebody.
GEOSwillendeavortoarrangeasuccessful rescuebutcannotacceptliabilityforfailedrescues
duetounforeseencircumstancesbeyond theircontrol.AdditionalGEOSSARMemberships
maybepurchaseddirectlyfromGEOSifmore thanonefamilymembermayusetheunit,see
pricingandtermsandconditionsat http://www.geosalliance.com/geos-services/worldwidesearch-and-rescue/CorporateSearchandRescue membershipsmayalsobepurchaseddirectly
fromGEOSifmorethanoneemployeemayusea unit,seepricingandtermsandconditionsat
http://www.geosalliance.com/geos-services/worldwide-search-and-rescue/
CommercialusersthatareofferingINREACHCANADA’SProductforrentand/orleasemay
contactGEOSatquestions@geosalliance.comtoobtaininformationandpricingforprovisionof
theSearchandRescuemembershipstoyourcustomers.Thismembershipbenefitrelatestothe
searchandrescuerelatedand/orextractionrelatedcostsanddoesnotcovermedicalexpenses.
Youmustfollowingallclaimsproceduresandprovidetheinsuranceunderwriterswithany
reasonablyrequesteddocumentation.Theinsuranceunderwritersmayrequireyoutofirst

submitanyhelicopterextractionandambulanceclaimstoyourmedicalinsuranceandsecond
toGEOSalongwithyourExplanationofBenefitsfromyourmedicalinsurer.Coverageextends
toNorthAmerica,Canada,theEuropeanUnionandAustralia,andwillonlybeprovidedto
othergeographiclocationssubjecttoacceptancebytheGEOSunderwritersinwriting,which
willbeprovidedaftertheapplicationhasbeenmade.Ifanadditionalgeographiclocationis
refusedbytheGEOSunderwriters,thenallpremiumspaidwillberefunded.Thefollowing
geographiclocationsareexpresslyexcluded:North,CentralorWestAfrica,theMiddleEast,
includingIraq,IranandAfghanistan,andRussia.Thecoverwillnotextendiftherescueservice
isprovidedbyofficialGovernment,Police,FireorRedCrossorganizations.Pricingvariesby
region;pleaseseethepricingspecifiedforyourregionatthetimeofserviceactivationThe
GEOSSARMembershipsearchandrescuebenefitisforanyadditionalcostsincurredorthose
costsnotcoveredbyexistingmedicalortravelcover.Claimsshouldbemadedirectthroughthe
GEOSMemberswebsitewhichcanbeaccessedusingtheusernameandpasswordprovidedto
youforaccesstotheGEOSMemberssite.AllclaimsaredealtwithbytheGEOSUnderwritersat
LloydsofLondon.TosupportclaimsthemembermustprovideasignedReleaseforthe
disclosuretoGEOSbythemedicalaidproviderofallmedicalservices,andtreatment,provided
inrelationtotheincidentandfulldetailsofanyotherInsurancecoverheld.Themembermust
firstclaimagainsttheirexistingMedical,TravelorotherInsurance.Allclaimsfor
reimbursementundertheMembersSARBenefitaredealtwithbytheGEOSUnderwritersand
theirdecisionisfinal.NOTE:TheGEOSInternationalEmergencyResponseCoordinationCenter
(IERCC)willnotrefusetocalloutadditionalemergencyresponseserviceswhenadvisedbyfirst
responderssuchadditionalserviceswillbenecessary.InsuchcaseswhereaMemberactivates
theirSOSsignalforanemergencyanditlatertranspiresthattheadditionalrescueservicewas
notrequiredorcoveredbythetermsandconditionsoftheSearchandRescueBenefitcover,
thememberwillbeliableforthewholecost.
PLAN.YourServicePlanconsistsof,atminimum,theINREACHCANADASafetyPlanandanybundles
oroptionalservicesselectedbyyoueitherwhenyouactivateyourINREACHCANADAProductorany
thatyoumayaddduringyourTerm.
3.1 Term.TheTermoftheplanisone(1)monthstartingonthedateofserviceactivation.Youare
committedfor1monthofservicetobepaidinequalmonthlyincrementsunlessotherwise
agreed.
3.2 Renewal.AllServicePlansautomaticallyrenewattheendoftheirTermforanadditional
monthtomonthTermunlessyoucancelbynotifyingINREACHCANADAasprovidedinSection
3.4.Whererequiredbylaw,INREACHCANADAwillprovideyouwithadvancenoticeofthe
renewalofyourServicePlan.
3.3 Non-Refundable.Pre-paidServicePlanfeesarenon-refundableunlessINREACHCANADA
cancelstheservice,inwhicheventyouwillreceiveaproratedrefundforairtimefortheunused
portionofthePlan.Pre-paidServicePlansmaynotbetransferredtoathird-partyaccount;
however,uponyourrequest,theymaybetransferredtoanotherINREACHCANADAProduct
withinyourownaccount.

3.4 Cancellation.TocancelyourServicePlan,youcandeactivateyourdeviceintheonlineExplore
portal.YoumayalsocallINREACHCANADAcustomerserviceat1-800-337-3155oremail
[email protected].
3.5 ChangestoServices.YouagreethatINREACHCANADAoritsserviceproviders(including
DeLorme,Iridium,andGEOS)maymakechangestotheServicesinordertocomplywith
applicablelaws,tomaintainorimprovetheServicesorforotherbusinessreasonswithout
noticetoyouandwithoutliabilityforanychangesinyourabilitytousetheServicesorthe
INREACHCANADAProducts,includingcompatibilityissueswiththeINREACHCANADAProducts,
asaresultofsuchchanges.
3.6 TerminationbyINREACHCANADA.YouagreethatINREACHCANADAmayterminatethis
AgreementandtheprovisionofServicestoyouatanytimewithoutnoticeorliabilitytoyouif
youareinbreachofthisAgreement.
3.7 AdditionalCharges.Yourcellphoneserviceproviderand/orinternetprovidermaychargeyou
oryourrecipientsadditionalfeesinrelationtoanySMS/MMSmessages,socialconnectivity
messagesand/orotheremailsand/ordata(collectively“DataPlanFees”)sentbyyou.Please
familiarizeyourselfwithanysuchapplicableplans,Servicesandassociatedfeesbeforeusing
yourINREACHCANADAProduct.Youareresponsibleforanysuchapplicablechargesandfees.
PAYMENT.
4.1. TimelyPayments.Youagreetopay,ontime,anyapplicableactivation,foryourServicePlan,
usage,cancellation,anddisconnectionfees,plusanyapplicabletaxes,asprovidedinyour
ServicePlan.INREACHCANADAwillbillyourcreditcardmonthlyinaccordancewiththeterms
ofyourServicePlan.ThisbillisdueandpayableinthecurrencyspecifiedinyourServicePlan.If
yourplanspecifiesmonthlybilling,thenthemonthlyrecurringchargesarebilledmonthlyin
advance.
4.2. LatePayments.Youagreetopayalatechargeof1.5%permonth ifyourbillisnotpaidwithin
ten(10)daysaftertheduedate.Thislatechargeisapplicabletotheunpaidbalanceasofthe
duedateandwillbebilledonsubsequentinvoicesandstatements.YouagreetopayINREACH
CANADAallofINREACHCANADA’scollectioncosts,includingwithoutlimitationthestandard
feesofanycollectionagency,reasonableattorneyandlegalfees,andanyothercostsincurred
byINREACHCANADAinexercisinganyofitsrightsunderthisAgreement.INREACHCANADA
maysuspendtheServicesintheeventoflatepayment.Ifitdoesso,INREACHCANADAmay
chargeareactivationfee(currently$30.00CAD)foreachsuspendedServicePlan.
4.3. Promotions.Ifyouuseapromotioncodeforyourpurchase,youcertifythatyouqualifyforthe
applicablepromotion.Youagreetothetermsofthepromotion,includinganytimelimitations,
andyouagreetoprovideyourcreditcardinformationforanyadditionalservicesandtoextend
theServicesbeyondthepromotionalperiod.
4.4. DataTransmission/NoCredits.INREACHCANADAwillexerciseacommerciallyreasonable
levelofcarebutmakesnorepresentationastothesuccessofanydatatransmission.
Regardlessofwhetheradatatransmissionissuccessful,norefundswillbegiven.Inadditionto
limitationsresultingfromincorrectuse(e.g.,nexttoorunderanobstruction),satellite

communicationssystemshaveinherentcharacteristicsthatcancreatedroppeddata
transmissions.Droppeddatatransmissions,regardlessoftype,willnotbecreditedregardless
ofcause.NorshallINREACHCANADAbeliableforanydamagesthatmayresultfromsuch
droppeddatatransmission.
4.5. Taxes.YourServicePlanpricefortheServicesdoesnotincludesales,usage,excise,advalorem,
goodsandservices,harmonizedsales,propertyoranyothertaxesnoworhereafterimposed,
directlyorindirectly,byanygovernmentalauthorityoragencywithrespecttotheService.You
arerequiredtopaythesetaxes.
4.6. CreditApproval/CreditCardTrialAuthorization.InitiationorcontinuationoftheServicesis
subjecttocreditapprovalbyINREACHCANADAandrequiresdirectpaymentbycreditcardor
anauthorizedguaranteeofpaymentbyavalidacceptedcreditcard.Creditcardsfromoutside
oftheUnitedStatesand/orCanadawillbeacceptedonlyafterverificationwiththeissuing
bank.IfyouareacustomerwhosebillingaddressislocatedoutsideoftheUnitedStatesor
Canadaoracustomerwithoutestablishedcredit,INREACHCANADAmaynotallowyouto
participateinaServicePlanwithmonthlypre-payment.Instead,INREACHCANADAmayrequire
thatyouprepaythefirstfullyear.Verificationofcreditcardsissuedbybanksoutsideofthe
UnitedStatesorCanadamaydelayorderprocessing.INREACHCANADAmaydeclineanycredit
cardtransaction.INREACHCANADAmayseekauthorizationofyourcreditcardaccountpriorto
yourfirstactivation/purchasetovalidatethatyoucanchargetheapplicablefeestoaccessthe
Services.ByauthorizingINREACHCANADAtochargeacreditcardtrialauthorizationforthe
feesassociatedwithyoursubscription,youareauthorizingINREACHCANADAtoautomatically
continuechargingthatcard(oranyreplacementcardiftheoriginalcardisrenewed,lost,
stolen,orchangedforanyreasonbythecardissuer,andtheissuerinformsINREACHCANADA
ofthenewreplacementcardaccount)forallfeesorchargesassociatedwithyoursubscription
includinganyrenewalfeesasdescribedbelow.Youauthorizethecardissuertopayany
amountsdescribedhereinandauthorizeINREACHCANADA,oranyothercompanythatactsasa
billingagentforINREACHCANADA,tocontinuetoattempttochargeallsumsdescribed
hereintoyourcreditcardaccountuntilsuchamountsarepaidinfull.Thistrialauthorization
amountistypicallytheequivalentof$1.00(onedollar).Itisnotachargebutmayappearto
reduceyouravailablebalancebytheauthorizationamountuntilyourcard’snextbillingcycle.
Pleasecontactyourcardissuerifyouhaveadditionalquestionsregardingwhenthisamountwill
beremovedfromyourstatement.
4.7. CreditCardAuthorization.BYAUTHORIZINGINREACHCANADATODEBITYOURCREDITCARD,
YOUREPRESENTTHATYOUARETHEAUTHORIZEDOWNERORUSEROFYOURCREDITCARD
ANDTHATYOUAREARESPONSIBLEPARTYFORTHATCARD.YOUGRANTINREACHCANADA
ACCESSTOANDTHERIGHTTOREVIEWTHEINFORMATIONIN,ANDYOURREFERENCES
SUBMITTEDWITH,THESERVICEPLAN,OBTAINYOURCREDITREPORTSANDCREDITHISTORY,

INREACHCANADAProductand/ortheServicesoranyinformationorservicesassociatedwith
orderivedfromtheINREACHCANADAProductand/ortheServices.
7.2. Misuse.YouagreethatyouwillnotusetheServicesortheINREACHCANADAProduct(1)to
abuseormisusetheSOSEmergencyservices,(2)toutilizeyourINREACHCANADAProductfor
thecommercialtrackingofassetsand/orpersonnel(3)tosendmessagesthatareoffensive,
defamatory,abusiveorobsceneorintendedtoharass(4)foranypurposeinviolationoflaw,
(5)inanymannerthatinfringesormisappropriatesthirdpartyrights,or(6)inanymanner
whichoverloadsorunreasonablyinterfereswiththeServicesortheSatelliteSystems.You
agreetousetheServicesonlywiththeINREACHCANADAProductandnottouseanyother
equipmentinconnectionwiththeServicesunlessexpresslyapprovedbyINREACHCANADA.
FailuretoadheretotheserestrictionsmayresultinterminationofthisAgreementbyINREACH

7.3. AuthorizedUsers.Youaresolelyresponsible,andassumeanyliability,foranyuserauthorized
byyoutoutilizetheINREACHCANADAand/ortheServices.Inaddition,youagreetopassusage
instructionsandServicePlantermsandconditionstoallofyourauthorizedusers.Some
optionalservicessuchastheGEOSSARbenefitareonlyavailabletotheprimary,registered
user.Youmustcarefullyreadtheapplicabletermsforanysuchoptional/bundledservicetosee

EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthePartieswith
respecttothesubjectmatterhereof.Anyheadingsareprovidedforconvenienceonly.
NoWaiver,Survival.ThefailureofINREACHCANADAtoexerciseorenforceanyrightunderthis
Agreementshallnotconstituteawaiverofsuchright.Allrightsandremediesgrantedto
INREACHCANADAarecumulativeandnotalternate.IfanyprovisionofthisAgreementisfound
invalidorunenforceable,suchinvalidityorunenforceabilityshallnotaffecttheremainingterms
andconditionsofthisAgreement,andthepartiesshallsubstituteavalidprovisionthatmost
nearlyapproximatestheintentandeconomiceffectoftheinvalidorunenforceableone.Any
provisionsthatexpresslyorbytheirnatureshouldsurviveterminationofthisAgreement,
includingpaymentobligations,disclaimerofwarranty,rightsofindemnityandlimitationof
liability,shallsurvivesuchtermination.
Assignment.YoumaynotassignthisAgreementoranyofyourrightsorobligationshereunder,
butINREACHCANADAmayassignthisAgreementandanyofitsrightsandobligations
hereunder.ThisAgreementinurestothebenefitofandisbindingontheparties’respective
successorsandpermittedassigns.
inReachCanadaStandardServiceAgreementandEndUserLicenseAgreement
ServiceprovidedbyInReachLLCorRoadpost,Inc.dbaInReachCanadamaybecomelimitedor
temporarilyunavailablewithoutnoticefromtimetotimeduetoanynumberofreasonsassociatedwith
managingaSatelliteSystem.Further,thissatellite-basedservicerequiresaclearlineofsightbetween
theINREACHProductandthesatellite;therefore,theserviceisinherentlysubjecttotransmissionand

3. HARDWARELIMITEDWARRANTY
3.1 INREACHwarrantsthatyourINREACHProductwillbefreefromdefectsinmaterialsand
workmanshipforoneyearfromthedateofpurchase.IfyourINREACHProductfailsinnormal
use,INREACHwill,atitssoleoption,eitherrepairorreplacetheunit.INREACHreservesthe
righttoeitherrepairorreplacetheunitwithaneworrefurbishedunitatitssolediscretion.
Suchrepairsorreplacementswillbemadeatnochargeforlaborormaterials;however,the
customerwillberesponsibleforanyshippingchargesincurredtosendthedevicetoINREACH.
Therepairedorreplacedproductwillbewarrantedforninety(90)daysfromthedateofreturn
shipment,orforthebalanceoftheoriginalwarranty,whicheverislonger.Thiswarrantydoes

Softwareforanypurpose.Youagreethatyouwillnotattempttocircumventor defeatthesecurity
orcontentusagerulescontainedintheSoftwareand/orusetheSoftwarein violationofanylawor
thirdpartyrights.Someofthegeographicdatathatyoumayhaveaccesstoislicensedfromthird
parties,andissubjecttoanyandallrestrictionsimposedonusbysuchthirdparties,whichcanbe

maintainorimprovetheSoftwareand/ortheServicesorforotherbusinessreasons,withoutnotice
toyouandwithoutliabilityforanychangesinyourabilitytousetheSoftware,INREACHProduct
and/orService,includingcompatibilityissues,asaresultofsuchchanges. Theseupdatesmaytake
theformofbugfixes,enhancedfunctions,newsoftwaremodulesandcompletelynewversions.This
Licensedoesnotgrantanyrightstoobtainingfutureupgrades,updatesorsupplementsofthe
Software.Ifupgrades,updatesorsupplementsoftheSoftwareareobtained,however,theuseof
suchupgradesorupdatesisgovernedbythisEULAandtheamendmentsthatmayaccompanythem
andmaybesubjecttoadditionalpaymentsandconditions. InReachLLChighlyrecommendsthatyou
ensurethatbothyourDeLormePN-60worINREACHSmartphoneApplicationhasthemost
recentsoftwareversionavailableandthatyourINREACHProducthasthemostrecentfirmware

whileusingtheSoftwareand/ortheServiceandfortheconsequencesofyouractionsbydoingso.
YouacknowledgethattheInReachmessagesmayincludeyourlocationinformation.Youretain
copyrightandanyotherrightsyoualreadyholdinContentwhichyousubmit,postordisplayonor
